This Purchase Order is issued to formally engage the services of a professional Videographer and their full production team for a multi-day corporate and promotional video project to be filmed and produced in Vietnam Ho Chi Minh City. The Videographer shall be responsible for all aspects of pre-production planning, on-location filming, post-production editing, color grading, sound mixing, and final delivery of broadcast-quality video content. The Videographer is expected to bring all necessary camera equipment, lighting rigs, audio recording devices, and support personnel to each filming location within Vietnam Ho Chi Minh City as specified in the attached production schedule.
The project involves the production of a 12-minute corporate brand film, three (3) sixty-second promotional reels, and a series of behind-the-scenes documentary clips capturing the operations of the Buyer's manufacturing facility and retail showrooms located throughout Vietnam Ho Chi Minh City. The Videographer shall coordinate with the Buyer's internal communications team to ensure all creative briefs, shot lists, and brand guidelines are adhered to throughout the production process.

The Videographer shall commence on-location filming in Vietnam Ho Chi Minh City on 22 June 2025 and complete all principal photography by 26 June 2025. Post-production work shall be conducted at the Videographer's studio in District 3, Vietnam Ho Chi Minh City, with a first rough cut delivered to the Buyer by 10 July 2025, a final cut by 20 July 2025, and all final deliverables handed over no later than 25 July 2025. All filming locations are within the administrative boundaries of Vietnam Ho Chi Minh City, and the Videographer is responsible for obtaining any necessary local filming permits from the District People's Committee offices.
6. PAYMENT TERMSPayment for this Purchase Order shall be made in three (3) installments via bank transfer to the Videographer's designated account:
- 40% Advance Payment (VND 124,300,000) — Due within five (5) business days of the Buyer's written acceptance of this Purchase Order, prior to the commencement of filming.
- 40% Progress Payment (VND 124,300,000) — Due upon the Buyer's written approval of the first rough cut, no later than 10 July 2025.
- 20% Final Payment (VND 62,150,000) — Due within seven (7) business days of the Buyer's acceptance of all final deliverables, no later than 25 July 2025.
- This Purchase Order is governed by the laws of the Socialist Republic of Vietnam. Any disputes arising from this Purchase Order shall be resolved through negotiation, and failing that, through arbitration under the Vietnam International Arbitration Centre (VIAC) in Vietnam Ho Chi Minh City.
- The Videographer warrants that all footage, audio, and final video deliverables shall be original works free from any third-party intellectual property claims. The Videographer shall indemnify the Buyer against any infringement claims arising from the use of stock footage, music, or other licensed materials incorporated into the final deliverables.
- All raw footage, project files, and final deliverables produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Videographer may retain copies solely for portfolio and promotional purposes, subject to the Buyer's prior written consent.
- The Videographer shall comply with all applicable labor, safety, and data protection regulations in Vietnam Ho Chi Minh City, including the Personal Data Protection Law of Vietnam, when handling any footage that includes identifiable individuals.
- Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination by the Buyer for convenience, the Videographer shall be compensated for all work completed and expenses incurred up to the date of termination.
- Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Vietnam Ho Chi Minh City, shall excuse timely performance. The affected party shall notify the other party within forty-eight (48) hours of the occurrence.
- All communications regarding this Purchase Order shall be directed to the contact persons listed in Sections 1 and 2. Amendments to this Purchase Order must be made in writing and signed by both parties.
