This Purchase Order is issued by Southern Cross Digital Solutions Pty Ltd (hereinafter referred to as the "Buyer") to Melbourne Creative Web Studio (hereinafter referred to as the "Supplier") for the engagement of a qualified Web Designer to deliver a comprehensive website design and development project. The Web Designer engaged under this Purchase Order shall be based in Australia Melbourne and shall perform all professional duties in accordance with the Australian Consumer Law, the Fair Trading Act 1999 (Vic), and all applicable industry standards governing digital design and web development in the state of Victoria.
The Buyer requires the services of a senior Web Designer to conceptualise, design, and deliver a fully responsive corporate website comprising no fewer than twelve (12) unique page templates, a custom content management system (CMS) integration, and full accessibility compliance in line with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. The Web Designer shall work from the Supplier's premises located in Australia Melbourne and shall conduct all client meetings, design reviews, and project milestones at the Buyer's office in Melbourne, Victoria, or via approved virtual collaboration platforms.

3.1 This Purchase Order is governed by the laws of the State of Victoria, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be resolved in the courts of Australia Melbourne, Victoria.
3.2 The Web Designer shall maintain professional indemnity insurance with a minimum cover of AUD 5,000,000 and public liability insurance of AUD 10,000,000 for the duration of the engagement. Certificates of insurance shall be provided to the Buyer prior to commencement of work.
3.3 All intellectual property rights in the final deliverables, including but not limited to design files, source code, and documentation, shall vest in the Buyer upon full payment of this Purchase Order. The Web Designer retains the right to display the completed work in a professional portfolio, subject to the Buyer's written consent.
3.4 The Web Designer shall comply with all Australian Privacy Act 1988 obligations and shall not store or process any personal data of the Buyer's end-users without explicit written authorisation.
3.5 Payment shall be made via direct bank transfer to the Supplier's nominated Australian bank account within thirty (30) calendar days of receipt of a valid tax invoice referencing this Purchase Order number (PO-2025-MEL-04872).
3.6 The Buyer reserves the right to withhold payment for any deliverable that does not meet the acceptance criteria outlined in Schedule A of this Purchase Order. The Web Designer shall be afforded a reasonable period of ten (10) business days to rectify any non-conforming work at no additional cost.
3.7 Cancellation of this Purchase Order by the Buyer prior to commencement shall incur no penalty. Cancellation after commencement shall be subject to a pro-rata charge for work completed and documented to date, as agreed in writing by both parties.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work set forth in this Purchase Order for the engagement of the Web Designer in Australia Melbourne.
