This Purchase Order authorizes the engagement of the above-named Web Designer to deliver comprehensive web design and development services for the purchasing entity. All work shall be performed in accordance with the specifications outlined below, and the final deliverables must meet the quality standards expected of a professional Web Designer operating within the competitive digital landscape of Brazil Brasília.

4.1 This Purchase Order constitutes a binding agreement between Brasília Digital Solutions Ltda. and the designated Web Designer for the provision of web design services as described herein. Both parties acknowledge that this document was prepared and executed in Brazil Brasília, Federal District, Brazil, and shall be governed by the laws of the Federative Republic of Brazil.

4.2 The Web Designer shall deliver all project milestones within the timelines specified in the attached Statement of Work. Any delays exceeding five (5) business days without prior written approval from the purchasing entity may result in a penalty of 2% of the affected line item value per day of delay.

4.3 All intellectual property rights, including but not limited to source code, design files, vector graphics, and brand assets created by the Web Designer under this Purchase Order, shall transfer exclusively to the purchasing entity upon full payment of the total amount due.

4.4 The Web Designer warrants that all deliverables shall be original work, free from any third-party intellectual property claims, and compliant with Brazilian data protection regulations (LGPD – Lei Geral de Proteção de Dados).

4.5 Payment shall be made via bank transfer (TED/PIX) to the account designated by the Web Designer. Invoices must be submitted to the procurement department in Brazil Brasília no later than the 5th business day of each month for the monthly retainer portion.

4.6 The Web Designer shall maintain professional liability insurance with a minimum coverage of R$ 500,000.00 for the duration of this Purchase Order engagement.

4.7 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Web Designer shall be compensated for all work completed and documented up to the termination date.

All digital deliverables shall be submitted via the project management platform designated by the purchasing entity. Physical design materials, if any, shall be delivered to the office located in Brazil Brasília, Setor Comercial Sul, Quadra 04, Bloco A, Sala 1200. The purchasing entity shall have ten (10) business days from the date of delivery to inspect and accept or reject each milestone. Rejection must be accompanied by a detailed written explanation of the deficiencies identified, and the Web Designer shall have five (5) business days to address and resubmit the corrected work.

The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, business strategies, client data, and internal documents accessed during the execution of this Purchase Order. All data processing activities shall comply with the Brazilian General Data Protection Law (LGPD, Law No. 13,709/2018). The Web Designer shall not disclose, publish, or utilize any confidential information for purposes other than the fulfillment of this Purchase Order without prior written consent from the purchasing entity.

Any disputes arising from or in connection with this Purchase Order shall be resolved through amicable negotiation. Should negotiation fail within thirty (30) days, the matter shall be submitted to the competent courts of Brazil Brasília, Federal District, Brazil, which the parties hereby agree as the exclusive jurisdiction for any legal proceedings.

This Purchase Order is effective upon signature by both parties. By signing below, each party acknowledges that they have read, understood, and agree to all terms, conditions, and specifications outlined in this document regarding the engagement of the Web Designer for services to be performed in Brazil Brasília.
