This Purchase Order is issued by Andes Digital Solutions SpA to formally engage the services of the above-named Web Designer for the design, development, and deployment of a corporate e-commerce platform. The Web Designer shall deliver all professional services in accordance with the specifications outlined in this Purchase Order and the attached technical annex. All work shall be performed primarily at the vendor's studio located in Chile Santiago, with mandatory on-site collaboration sessions at the purchasing entity's offices in Las Condes, Chile Santiago, no fewer than three (3) times per project phase.
The Web Designer is expected to demonstrate expertise in responsive web design, user experience (UX) architecture, front-end development (HTML5, CSS3, JavaScript/TypeScript), back-end integration (PHP, Node.js), and e-commerce platform configuration (WooCommerce or Shopify Plus). The Web Designer shall ensure full compliance with Chilean data protection regulations (Ley 19.628) and accessibility standards applicable in Chile Santiago.

Payment shall be made in Chilean Pesos (CLP) via bank transfer to the Web Designer's designated account. The schedule is as follows: 30% upon execution of this Purchase Order, 40% upon approval of the UI design phase, 20% upon successful deployment, and 10% upon completion of the post-launch support period. Invoices must be issued in accordance with the Chilean electronic invoicing system (SII - Servicio de Impuestos Internos) and delivered to the purchasing entity within five (5) business days of milestone completion.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of the Republic of Chile and the Commercial Code applicable in Chile Santiago. Any disputes shall be resolved by the competent courts of the Región Metropolitana, Chile Santiago.
- Intellectual Property: Upon full payment, all deliverables created by the Web Designer shall become the exclusive property of Andes Digital Solutions SpA. The Web Designer retains the right to display the work in a professional portfolio, subject to a 90-day embargo period.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and client data encountered during the engagement in Chile Santiago. This obligation survives termination for a period of three (3) years.
- Timeline: The Web Designer shall complete all deliverables within ninety (90) calendar days from the date of this Purchase Order. Delays exceeding ten (10) business days without written justification entitle the purchasing entity to a penalty of 1% of the total contract value per day of delay.
- Revisions: The Web Designer shall include two (2) rounds of revisions per phase at no additional cost. Additional revisions shall be billed at CLP 85,000 per hour.
- Termination: Either party may terminate this Purchase Order with fifteen (15) days' written notice. In the event of termination, the Web Designer shall be compensated for work completed and documented up to the termination date.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting Chile Santiago, government-mandated closures, or systemic internet outages.
- Compliance: The Web Designer warrants that all services rendered comply with applicable Chilean labor, tax, and data protection laws. The Web Designer is responsible for all personal tax obligations arising from this Purchase Order.
Deliverables shall be deemed accepted upon written confirmation from the Procurement Manager of Andes Digital Solutions SpA. The purchasing entity shall have ten (10) business days from delivery to inspect and approve each phase. Failure to respond within this period shall constitute deemed acceptance. The Web Designer shall correct any non-conformities identified during the inspection period at no additional charge.
