This Purchase Order is issued by Shanghai Horizon Digital Solutions Co., Ltd. (hereinafter referred to as the "Purchaser") to formally engage the services of PixelCraft Creative Studio (hereinafter referred to as the "Web Designer" or "Supplier") for the design, development, and delivery of a comprehensive corporate web platform. The Web Designer shall operate out of their registered office in China Shanghai and shall dedicate a team of qualified web designers, front-end developers, and UX specialists to fulfill all obligations outlined in this Purchase Order.

The scope of work assigned to the Web Designer includes, but is not limited to: the creation of a responsive corporate website comprising no fewer than fifteen (15) unique page templates; the design of a complete brand identity system including logo refinement, color palette, and typography guidelines; the development of an interactive product catalog module; the implementation of a multilingual content management system supporting Simplified Chinese, English, and Japanese; and the integration of e-commerce payment gateways compliant with China Shanghai local regulations and the People's Bank of China digital payment standards.

5.1 This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to commercial regulations applicable in China Shanghai. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC).

5.2 The Web Designer warrants that all deliverables shall be original work, free from intellectual property infringement, and shall comply with all applicable data protection laws including the Personal Information Protection Law of the People's Republic of China. All source code, design files, and documentation produced under this Purchase Order shall become the exclusive property of the Purchaser upon full payment.

5.3 The Web Designer shall maintain a dedicated project team physically located in China Shanghai for the duration of the engagement. On-site meetings at the Purchaser's Pudong office shall be conducted no fewer than twice per month during active development phases.

5.4 Payment shall be made via bank transfer to the account designated by the Web Designer. All invoices must be issued in accordance with China Shanghai tax regulations, including the applicable Value Added Tax (VAT) at the prevailing rate. Late payments shall incur interest at a rate of 0.05% per calendar day.

5.5 The Web Designer shall provide a minimum of six (6) months of post-launch technical support, during which all critical bugs and security vulnerabilities shall be resolved within forty-eight (48) hours. This support shall be delivered by the Web Designer's local China Shanghai team to ensure rapid response times.

5.6 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Purchaser shall pay for all services rendered and milestones completed up to the date of termination. The Web Designer shall deliver all work-in-progress materials and source files to the Purchaser within ten (10) business days of termination.
