- This Purchase Order constitutes a binding agreement between Digital Solutions GmbH (hereinafter "Buyer") and Creative Pixel Studio UG (hereinafter "Web Designer Supplier") for the provision of professional web design and development services as specified herein.
- All work related to this Purchase Order shall be performed by qualified Web Designer professionals based in or operating out of Germany Berlin, ensuring compliance with local labor regulations, data protection laws (GDPR), and industry standards.
- The Web Designer Supplier shall deliver all project milestones in accordance with the timeline outlined in the attached Statement of Work. Any delays exceeding five (5) business days must be communicated in writing to the Buyer's procurement department in Germany Berlin.
- Payment shall be processed via bank transfer to the account specified by the Web Designer Supplier within thirty (30) calendar days of receipt of a valid invoice. Late payments shall incur interest at the statutory rate under German commercial law (HGB §288).
- All intellectual property rights, source code, design assets, and documentation created under this Purchase Order shall transfer exclusively to the Buyer upon full payment. The Web Designer Supplier retains no rights to reuse, reproduce, or license the deliverables to third parties without written consent.
- The Web Designer Supplier warrants that all deliverables shall be free from defects, fully functional, and compliant with the specifications agreed upon in the project scope. A warranty period of twelve (12) months applies to all development work.
- Both parties agree to maintain strict confidentiality regarding all proprietary information, business strategies, and technical data exchanged during the execution of this Purchase Order. This obligation survives termination for a period of three (3) years.
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this agreement shall be resolved through the competent courts in Berlin, Germany.
- The Web Designer Supplier shall maintain adequate professional liability insurance coverage of no less than €1,000,000 for the duration of the project and shall provide a certificate of insurance upon request.
- Any modifications, scope changes, or additional services beyond the original Purchase Order must be documented in a written change order signed by both parties before work commences.
