This Purchase Order is issued by TechNova Solutions Pvt. Ltd. to formally engage the services of a qualified Web Designer and associated design team provided by PixelCraft Digital Studio LLP. The scope of work pertains to the complete design, development, and deployment of a corporate e-commerce platform and a responsive marketing website. All services shall be rendered by the Web Designer and supporting staff physically based and operating out of India Bangalore, ensuring local availability, timezone alignment, and on-site collaboration as required by the Buyer's project management team.

The Web Designer engaged under this Purchase Order shall adhere to the following milestone schedule. All deliverables must be produced and submitted from the India Bangalore office of PixelCraft Digital Studio LLP, with weekly progress reports submitted to the Buyer's project manager:

• Week 1–2: Discovery, research, and initial wireframing by the Web Designer. All on-site meetings to be conducted at the Buyer's premises in India Bangalore.
• Week 3–5: High-fidelity UI design, design system creation, and interactive prototyping.
• Week 6–9: Front-end development, responsive implementation, and cross-browser testing.
• Week 10–11: Integration, content population, performance optimization, and QA.
• Week 12: Final deployment, user acceptance testing, and handover documentation.
• Month 4–6: Post-launch support period with the Web Designer available for revisions and bug fixes.

1. This Purchase Order constitutes a binding agreement between the Buyer and Seller upon countersignature. All terms are governed by the laws of India, with jurisdiction in the courts of India Bangalore, Karnataka.
2. The Web Designer and all supporting personnel shall be employees or contracted professionals of PixelCraft Digital Studio LLP. The Buyer shall not be liable for any employment obligations, statutory deductions, or labor law compliance related to the Web Designer.
3. Payment shall be made in three installments: 30% upon acceptance of this Purchase Order, 40% upon completion of the design phase (Week 5), and 30% upon final deployment and acceptance. All payments shall be processed via NEFT/RTGS to the Seller's designated bank account in India Bangalore.
4. Intellectual property rights for all designs, code, and assets created by the Web Designer under this Purchase Order shall vest exclusively with the Buyer upon full and final payment.
5. The Web Designer shall maintain strict confidentiality regarding the Buyer's proprietary information, trade secrets, and business strategies. A separate Non-Disclosure Agreement (NDA) is attached as Annexure A.
6. Any changes to the scope of work must be documented in a formal Change Order signed by both parties. Unauthorized modifications by the Web Designer beyond the agreed scope shall not be compensated under this Purchase Order.
7. The Seller warrants that the Web Designer possesses the requisite skills, certifications, and professional experience to deliver the services as specified. A minimum of five (5) years of professional web design experience is required for the Lead Web Designer.
8. Force majeure events, including but not limited to natural disasters, government-mandated lockdowns in India Bangalore, or pandemics, shall extend the delivery timeline proportionally without penalty to either party.
9. Disputes arising from this Purchase Order shall first be attempted to be resolved through mediation in India Bangalore. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
10. This Purchase Order is valid for acceptance within fifteen (15) calendar days from the date of issue. Failure to sign and return within this period shall render this Purchase Order null and void.
