This Purchase Order is issued by PT Nusantara Digital Solutions to engage the services of a qualified Web Designer based in Indonesia Jakarta for the development, design, and deployment of a corporate e-commerce platform. The Web Designer shall deliver all work in accordance with the specifications outlined below and in full compliance with applicable Indonesian commercial regulations and data protection standards. All deliverables under this Purchase Order shall be completed and handed over at the buyer's office located in Indonesia Jakarta unless otherwise agreed in writing.

1. Payment Terms: Payment shall be made in three installments: 40% upon signing of this Purchase Order, 40% upon completion of the Web Designer development phase, and 20% upon final acceptance and handover. All payments shall be transferred via bank transfer to the supplier's account in Indonesia Jakarta. Payment is due within 14 (fourteen) business days from the date of invoice.
2. Delivery Schedule: The Web Designer shall complete all deliverables within 90 (ninety) calendar days from the date of this Purchase Order. The final handover and deployment shall take place at the buyer's premises in Indonesia Jakarta, SCBD district.
3. Intellectual Property: Upon full payment, all source code, design files, and digital assets created by the Web Designer under this Purchase Order shall become the exclusive property of PT Nusantara Digital Solutions. The Web Designer retains the right to display the work in a professional portfolio.
4. Revisions: The Web Designer shall include up to three (3) rounds of revisions per deliverable at no additional cost. Additional revisions beyond this scope shall be billed at IDR 2,500,000 per hour.
5. Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, business data, and customer information accessed during the execution of this Purchase Order in Indonesia Jakarta. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A.
6. Compliance: All work performed under this Purchase Order shall comply with Indonesian law, including but not limited to the Personal Data Protection Law (UU PDP No. 27 Tahun 2022) and applicable e-commerce regulations issued by the Ministry of Communication and Digital Affairs of Indonesia.
7. Termination: Either party may terminate this Purchase Order with 30 (thirty) days written notice. In the event of termination, the Web Designer shall be compensated for all work completed up to the termination date, and all deliverables in progress shall be handed over to the buyer.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Indonesia Jakarta in accordance with the rules of the Indonesian National Board of Arbitration (BANI).
9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including natural disasters, government mandates, or pandemics affecting operations in Indonesia Jakarta.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Web Designer in Indonesia Jakarta. This Purchase Order becomes effective upon the date of the last signature.
