5.1 Scope of Work: The Web Designer shall perform all duties as specified in this Purchase Order and the referenced Statement of Work. Any changes to scope, design direction, or technical requirements must be approved in writing by both parties prior to implementation. The Web Designer is expected to maintain regular communication with the Buyer's project team, with weekly progress meetings to be held at the Buyer's office in Israel Jerusalem or via secure video conference.

5.2 Delivery Schedule: The Web Designer shall deliver the completed e-commerce platform no later than 14 September 2025. Milestone deliveries are as follows: Wireframes and UX prototypes by 15 July 2025; UI design mockups by 12 August 2025; Full front-end development by 29 August 2025; Final deployment and QA sign-off by 14 September 2025. Failure to meet any milestone without prior written approval from the Buyer shall result in a penalty of 1.5% of the total contract value per day of delay, capped at 10%.

5.3 Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon delivery of the UI design mockups (Milestone 2), and 30% upon final acceptance and deployment. All payments shall be made via bank transfer to the supplier's account in Israel Jerusalem. Invoices must reference this Purchase Order number (PO-IL-JLM-2025-04782) for proper accounting reconciliation.

5.4 Intellectual Property: Upon full payment, all design assets, source code, and deliverables produced by the Web Designer shall become the exclusive property of Jerusalem Digital Solutions Ltd. The Web Designer retains the right to display the completed work in a professional portfolio, subject to a 60-day embargo period following public launch.

5.5 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.

5.6 Governing Law and Jurisdiction: This Purchase Order and all related services shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the competent courts in Israel Jerusalem. Both parties agree to attempt good-faith mediation before initiating any formal legal proceedings.

5.7 Cancellation: Either party may cancel this Purchase Order with thirty (30) days' written notice. In the event of cancellation by the Buyer, the Web Designer shall be compensated for all work completed and materials procured up to the date of cancellation, as documented in a final invoice.

5.8 Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Israel Jerusalem, or widespread infrastructure failures, provided that the affected party notifies the other within forty-eight (48) hours of the event.
