This Purchase Order is issued by Lazio Digital Solutions S.r.l. to Roma Creative Web Studio S.n.c. for the engagement of a qualified Web Designer to deliver comprehensive website design, development, and user experience optimization services. The entire scope of work under this Purchase Order shall be executed in Italy Rome, specifically at the Buyer's headquarters located on Via del Corso, 00186 Rome, and at such other locations within the metropolitan area of Rome as may be mutually agreed upon in writing.

The Web Designer engaged under this Purchase Order shall be responsible for the complete redesign of the Buyer's corporate e-commerce platform, including but not limited to: responsive layout architecture, interactive user interface design, content management system integration, accessibility compliance in accordance with Italian and European Union digital standards, and cross-browser compatibility testing. The Web Designer shall report directly to the Buyer's CTO and shall maintain all project documentation in both Italian and English to satisfy the regulatory requirements applicable to digital services operating in Italy Rome.

All deliverables produced by the Web Designer under this Purchase Order must adhere to the design specifications outlined in Appendix A (attached separately) and must be completed within the timeline established in Section 4 of this document. The Web Designer is expected to demonstrate proven expertise in modern front-end frameworks, graphic design principles, and conversion rate optimization strategies relevant to the Italian market.

The Web Designer shall adhere to the following milestone schedule as part of this Purchase Order. All milestones are subject to formal acceptance by the Buyer's project management team in Italy Rome:

• Milestone 1: Completion of wireframes and UX strategy – due 12 July 2025
• Milestone 2: Delivery of full UI design mockups for client review – due 15 August 2025
• Milestone 3: Completion of front-end development and CMS integration – due 19 September 2025
• Milestone 4: Final QA, accessibility certification, and performance sign-off – due 17 October 2025
• Milestone 5: Post-launch support period and staff training completion – due 14 November 2025

Any delay exceeding five (5) business days beyond a milestone date, not attributable to the Buyer, shall entitle the Buyer to a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%.

Payment under this Purchase Order shall be made in accordance with the following schedule, via bank transfer to the Supplier's designated account in Italy Rome:

• 30% advance payment upon signed acceptance of this Purchase Order
• 25% upon completion and acceptance of Milestone 2
• 25% upon completion and acceptance of Milestone 3
• 20% upon final acceptance of all deliverables and completion of Milestone 5

All invoices must reference this Purchase Order number (PO-ROME-2025-04782) and must be issued in compliance with Italian electronic invoicing regulations (Fattura Elettronica) through the Sistema di Interscambio (SdI). Payment terms are net thirty (30) days from the date of invoice receipt. Late payments shall accrue interest at the rate prescribed by Italian Civil Code Article 1284.

• Intellectual Property: All work product, designs, code, and documentation created by the Web Designer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Web Designer retains the right to display the completed project in a professional portfolio, subject to the Buyer's prior written consent.
• Confidentiality: The Web Designer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and business data encountered during the execution of this Purchase Order in Italy Rome. This obligation survives termination for a period of three (3) years.
• Compliance: The Web Designer shall comply with all applicable Italian and European Union laws, including but not limited to GDPR (Regulation (EU) 2016/679), the Italian Digital Code (Codice dell'Amministrazione Digitale), and all labor regulations applicable to freelance and contracted professionals operating in Rome, Italy.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, and the Web Designer shall deliver all work-in-progress materials.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes shall be resolved by the competent courts of Rome, Italy.
• Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Rome metropolitan area.
