This Purchase Order is issued by Abidjan Digital Solutions SARL to formally request and authorize the engagement of a qualified Web Designer for the design, development, and deployment of a comprehensive corporate website and associated digital assets. The Web Designer shall deliver all services in accordance with the specifications outlined in this Purchase Order and the attached Statement of Work. All work shall be performed in compliance with the applicable laws and regulations of the Republic of Côte d'Ivoire, and the primary place of performance shall be within the city of Ivory Coast Abidjan, specifically at the vendor's registered office in the Plateau district.

The Web Designer engaged under this Purchase Order shall be responsible for the following deliverables and services:

• 30% Advance Payment: 5,148,000 XOF due upon signature of this Purchase Order, payable via bank transfer to the vendor's account at Ecobank Côte d'Ivoire, Abidjan branch.
• 40% Milestone Payment: 6,864,000 XOF due upon completion and buyer's written approval of the Web Designer's core website deliverables (Items 1–3).
• 30% Final Payment: 5,148,000 XOF due upon final acceptance, delivery of all source files, completion of training, and commencement of the support period.
• All payments shall be made in West African CFA Francs (XOF) within fifteen (15) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Ivorian commercial law.

• The Web Designer shall commence work within five (5) business days of receiving the advance payment.
• Project milestones shall be reviewed bi-weekly at the vendor's office in Plateau, Abidjan, or via video conference as mutually agreed.
• Final delivery of all deliverables is expected no later than 14 September 2025.
• The buyer shall have ten (10) business days from the date of final delivery to inspect and either accept or issue a written list of non-conformities. Failure to respond within this period shall constitute deemed acceptance.

• This Purchase Order is governed by the laws of the Republic of Côte d'Ivoire. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts of Abidjan, Ivory Coast.
• The Web Designer warrants that all deliverables shall be original, free from intellectual property infringement, and shall not contain any third-party code or assets without proper licensing.
• The Web Designer shall maintain professional liability insurance with a minimum coverage of 50,000,000 XOF throughout the duration of this Purchase Order.
• Confidentiality: Both parties agree to treat all proprietary information exchanged under this Purchase Order as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
• The Web Designer shall comply with all data protection regulations applicable in Ivory Coast Abidjan, including the Ivorian Law No. 2013-450 of 19 June 2013 on the protection of personal data.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination.
• This Purchase Order constitutes the entire agreement between the parties regarding the engagement of the Web Designer and supersedes all prior negotiations, representations, or agreements.
