- Payment Terms: Payment shall be made in three installments: 40% upon acceptance of this Purchase Order, 40% upon completion of development and delivery of the Web Designer's primary deliverables, and 20% upon final acceptance and deployment. All payments shall be processed via bank transfer to the account specified by Sakura Web Studio LLC. Payment is due within 30 days of invoice receipt.
- Project Location: All on-site meetings, design reviews, and collaborative sessions with the Web Designer shall take place at the client's office in Higashiyama-ku, Kyoto, Japan, or at the Web Designer's studio in Nakagyo-ku, Kyoto, as mutually agreed upon in writing. Remote collaboration via secure video conferencing is permitted for interim check-ins.
- Intellectual Property: Upon full payment, all intellectual property rights, source code, design assets, and documentation created by the Web Designer under this Purchase Order shall transfer exclusively to Kyoto Digital Commerce Co., Ltd. The Web Designer retains the right to display the completed work in their professional portfolio, subject to prior written approval from the client.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, business strategies, customer data, and trade secrets encountered during the execution of this Purchase Order in the Japan Kyoto region. This obligation survives the termination of this agreement for a period of five (5) years.
- Compliance: The Web Designer shall comply with all applicable laws and regulations of Japan, including but not limited to the Act on the Protection of Personal Information (APPI), the Electronic Books Act, and all local ordinances applicable to the Kyoto Prefecture. The Web Designer must hold valid business registration in Japan and appropriate professional licensing.
- Revisions: The Web Designer shall include up to three (3) rounds of design revisions per deliverable milestone at no additional cost. Additional revisions beyond this scope shall be billed at the Web Designer's standard hourly rate of JPY 12,000 per hour, subject to written approval via a supplementary Purchase Order amendment.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Web Designer shall deliver all work-in-progress materials and receive payment for services rendered up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this agreement shall be resolved through arbitration in Kyoto, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, including but not limited to earthquakes, typhoons, or volcanic activity common to the Japan Kyoto region, provided that the affected party notifies the other within 48 hours of the event.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Web Designer services in Japan Kyoto. This document constitutes a binding agreement between the parties upon execution by both authorized representatives.
