This Purchase Order is issued by Osaka Digital Solutions Co., Ltd. to engage the services of a qualified Web Designer based in Japan Osaka for the comprehensive design, development, and deployment of a corporate e-commerce platform. The Web Designer shall operate out of the Osaka metropolitan area and shall adhere to all applicable Japanese commercial regulations, including the Act on Specified Commercial Transactions and the Personal Information Protection Act (APPI) as enforced in the Japan Osaka jurisdiction. The scope of this Purchase Order encompasses the full lifecycle of web design services, from initial wireframing and user experience research conducted in the Japan Osaka market, through visual design, front-end and back-end development, to final deployment and a 90-day post-launch support period.

Payment for this Purchase Order shall be made in three installments via bank transfer to the Web Designer's registered account in Japan Osaka:

Installment 1 (30%): JPY 1,428,900 — Due upon signed acceptance of this Purchase Order and project kickoff.
Installment 2 (40%): JPY 1,905,200 — Due upon completion of visual design approval and mid-project milestone review.
Installment 3 (30%): JPY 1,428,900 — Due upon final deployment, acceptance testing sign-off, and delivery of all source code and documentation.

Late payments shall incur a penalty of 1.5% per month, in accordance with Japanese commercial practice. All invoices must reference Purchase Order number PO-JOS-2025-04782.

The Web Designer shall deliver all project milestones from the Japan Osaka office or a mutually agreed remote workspace within the Osaka Prefecture. The total project duration is 16 weeks from the date of Purchase Order acceptance. All deliverables shall be submitted in Japanese and English. The Web Designer is required to attend bi-weekly progress meetings at the buyer's Japan Osaka headquarters located in Nakanoshima, Kita-ku, Osaka.

1. This Purchase Order is governed by the laws of Japan, with jurisdiction in the Osaka District Court, Japan Osaka.
2. The Web Designer warrants that all design assets, code, and intellectual property created under this Purchase Order shall be the sole property of Osaka Digital Solutions Co., Ltd. upon full payment.
3. The Web Designer shall maintain professional liability insurance with a minimum coverage of JPY 50,000,000, valid throughout the Japan Osaka project duration.
4. Confidentiality: All proprietary information exchanged under this Purchase Order shall be treated as strictly confidential for a period of five (5) years, in compliance with Japan Osaka data protection standards.
5. The Web Designer shall comply with all applicable Japanese labor, tax, and freelance registration requirements in the Japan Osaka region.
6. Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Web Designer shall be compensated for all work completed up to the termination date.
7. Disputes arising from this Purchase Order shall first be subject to mediation in Japan Osaka before any litigation proceedings are initiated.
