This Purchase Order is issued by Almaty Digital Solutions LLP to formally engage the services of a qualified Web Designer based in Kazakhstan Almaty for the development, design, and implementation of a comprehensive corporate website and associated digital assets. This Purchase Order governs all terms, conditions, deliverables, and payment schedules related to the Web Designer engagement. The Web Designer shall operate out of the supplier's registered office in Kazakhstan Almaty and shall comply with all applicable Kazakhstani labor, tax, and commercial regulations throughout the duration of this Purchase Order.

Payment for this Purchase Order shall be made in the following installments, all processed through the supplier's bank account registered in Kazakhstan Almaty:

• 30% Advance Payment (KZT 811,440): Due within 5 business days of Purchase Order acceptance, prior to the Web Designer commencing initial design work.
• 40% Milestone Payment (KZT 1,081,920): Due upon completion and buyer approval of the full Web Designer deliverable package, including all design files, source code, and documentation.
• 30% Final Payment (KZT 811,440): Due at the conclusion of the 3-month maintenance period, subject to satisfactory performance by the Web Designer.

All payments shall be made in Kazakhstani Tenge (KZT) via bank transfer to the supplier's account at Kaspi Bank, Almaty branch. Late payments shall incur a penalty of 0.1% per calendar day as stipulated under the Civil Code of the Republic of Kazakhstan.

The Web Designer shall deliver all project milestones in accordance with the schedule below. All on-site meetings, training sessions, and handover activities shall take place at the buyer's office located in Kazakhstan Almaty unless otherwise agreed in writing.

• This Purchase Order is governed by the laws of the Republic of Kazakhstan. Any disputes arising from this Purchase Order shall be resolved through the Arbitration Court of Almaty City, Kazakhstan Almaty.
• The Web Designer warrants that all deliverables shall be original work, free from intellectual property infringement, and shall comply with Kazakhstani data protection legislation (Law No. 98-V on Personal Data and Its Protection).
• The Web Designer shall maintain professional liability insurance valid throughout the engagement period in Kazakhstan Almaty.
• Either party may terminate this Purchase Order with 14 days' written notice. In the event of early termination, the buyer shall pay for all services rendered by the Web Designer up to the termination date.
• All source code, design files, and intellectual property created by the Web Designer under this Purchase Order shall transfer to the buyer upon full payment.
• The Web Designer shall comply with all health, safety, and workplace regulations applicable in Kazakhstan Almaty during any on-site work.
• This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations, including the maintenance period, are fully discharged.

By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the engagement of the Web Designer in Kazakhstan Almaty. This document constitutes a binding commercial agreement between the parties.
