1. This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Nepal, specifically the Companies Act 2063 (2006) and the applicable digital commerce regulations enforced in Nepal Kathmandu.
2. The Web Designer (Creative Pixel Web Design Studio) shall not subcontract any portion of the work without prior written consent from Himalayan Digital Solutions Pvt. Ltd. All design and development work shall be performed by qualified professionals based in Nepal Kathmandu.
3. Payment shall be made in three (3) installments: 30% advance upon acceptance of this Purchase Order, 40% upon completion of front-end and back-end development (Milestone 2), and 30% upon final delivery and acceptance of all deliverables. All payments shall be made via bank transfer to the vendor's account at Nabil Bank, Putalisadak Branch, Kathmandu, Nepal.
4. The Web Designer shall deliver all source code, design files (Figma, Adobe XD, or equivalent), and complete project documentation to the client upon final payment. Intellectual property rights for all custom designs and code shall transfer to the client upon full payment.
5. Any changes to the scope of work beyond what is specified in this Purchase Order shall require a written change order signed by both parties. Additional charges for scope changes shall be agreed upon in writing before work commences.
6. The Web Designer shall ensure that the website complies with all data protection and privacy regulations applicable in Nepal, including the Privacy Act 2075 (2018). All user data collected through the website shall be stored securely and not shared with third parties without explicit consent.
7. In the event of a delay in delivery exceeding fifteen (15) calendar days beyond the agreed deadline, the client reserves the right to withhold 5% of the outstanding payment per week of delay, up to a maximum of 25% of the total contract value.
8. This Purchase Order is valid for acceptance within fourteen (14) days from the date of issue. Failure to accept within this period shall render this document null and void.
9. Disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to the competent court of law in Kathmandu, Nepal.
10. The Web Designer shall maintain professional liability insurance with a minimum coverage of NPR 5,000,000 for the duration of the project and the post-launch support period.
