This Purchase Order is issued by Nevsky Digital Solutions LLC to engage the services of a qualified Web Designer for the development, design, and implementation of a comprehensive corporate website. The Web Designer shall be responsible for the full visual and functional creation of a responsive, modern web platform tailored to the operational needs of our business located in Russia Saint Petersburg. The scope of work encompasses the following deliverables:

The Web Designer shall adhere to the following specifications as outlined in the attached technical brief (Appendix A):

• The website must be fully responsive across desktop, tablet, and mobile devices, with a minimum viewport width of 320px.
• All design assets must be delivered in source formats (Figma, Adobe XD, or equivalent) alongside final production files.
• The Web Designer shall incorporate the corporate brand identity of Nevsky Digital Solutions LLC, including approved color palette, typography, and logo usage guidelines.
• The platform must comply with Russian Federal Law No. 152-FZ on Personal Data Protection, ensuring all user data is stored on servers physically located within the Russian Federation.
• Content management system must support Russian language as the primary locale with optional English translation modules.
• All deliverables must be compatible with major browsers including Yandex Browser, Chrome, Firefox, and Safari.

Payment for the services rendered under this Purchase Order shall be made in Russian Rubles (RUB) via bank transfer to the account designated by the Web Designer. The payment schedule is structured as follows:

• 30% Advance Payment (249,000 RUB): Due within 5 business days of mutual acceptance of this Purchase Order, payable to the Web Designer upon commencement of the UX/UI design phase.
• 40% Milestone Payment (332,000 RUB): Due within 5 business days following the buyer's written approval of the completed front-end and back-end development deliverables.
• 30% Final Payment (249,000 RUB): Due within 10 business days after the successful go-live deployment and a 7-day defect-free testing period.

All payments are subject to the applicable Value Added Tax (VAT) rate of 20% as per the Tax Code of the Russian Federation. The Web Designer shall issue a formal invoice (sчёт) for each payment tranche prior to the due date.

All project deliverables shall be submitted electronically via the buyer's designated project management platform. The Web Designer is required to provide a minimum of two (2) revision cycles for each major design phase. Final acceptance of the completed website shall be confirmed in writing by the Project Director of Nevsky Digital Solutions LLC. In the event of non-conformity, the Web Designer shall rectify identified issues within 5 business days at no additional cost.

Upon full and final payment, all intellectual property rights, including but not limited to design files, source code, and documentation, shall be transferred exclusively to Nevsky Digital Solutions LLC. The Web Designer retains the right to display the completed project in a professional portfolio, subject to prior written consent from the buyer.

The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, business strategies, and client data encountered during the execution of this Purchase Order. All personal data processed in connection with this engagement shall be handled in full compliance with the data protection regulations applicable in Russia Saint Petersburg and the broader Russian Federation.

This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be resolved through negotiation, and failing that, shall be submitted to the Arbitration Court of Russia Saint Petersburg for final and binding resolution.

This Purchase Order constitutes the entire agreement between the parties regarding the engagement of the Web Designer for the described services. No amendments or modifications shall be valid unless made in writing and signed by both parties. This Purchase Order is valid for a period of 90 days from the date of issue. The Web Designer shall not subcontract any portion of the work without prior written approval from the buyer.
