This Purchase Order is issued by Mediterrània Digital Solutions S.L. to formally request and authorize the engagement of a qualified Web Designer through PixelCraft Web Studio for the design, development, and deployment of a corporate e-commerce platform. All services described in this Purchase Order shall be performed within the jurisdiction of Spain Barcelona, in full compliance with the applicable Spanish commercial regulations, the General Tax Law (Ley General Tributaria), and the European Union's General Data Protection Regulation (GDPR). The Web Designer engaged under this Purchase Order shall adhere to the professional standards established by the Spanish Association of Digital Professionals (ASDI) and shall maintain all deliverables within the operational boundaries of Spain Barcelona unless otherwise agreed in writing by both parties.

1. Scope of Work: The Web Designer shall deliver all design assets, source code, and documentation in accordance with the specifications outlined in Annex A attached to this Purchase Order. All work shall be conducted primarily from the vendor's office located in Spain Barcelona, with on-site meetings at the buyer's premises in Barcelona as required.
2. Timeline: The Web Designer shall complete all deliverables within 12 weeks from the date of acceptance of this Purchase Order. Milestone dates are detailed in the project schedule (Annex B). Delays exceeding five (5) business days without written justification shall incur a penalty of 0.5% of the total Purchase Order value per day of delay.
3. Payment Terms: Payment shall be made in three instalments: 30% upon signing of this Purchase Order, 40% upon delivery of the completed Web Designer design package (UX/UI mockups approved), and 30% upon final acceptance and go-live. All invoices shall be issued in EUR and paid via bank transfer within 30 days of invoice date, in compliance with Spanish commercial law (Ley 3/2004 de lucha contra la morosidad).
4. Intellectual Property: Upon full payment, all intellectual property rights in the Web Designer's deliverables shall transfer exclusively to Mediterrània Digital Solutions S.L. The Web Designer retains the right to display the project in a professional portfolio with prior written consent from the buyer.
5. Confidentiality: The Web Designer shall treat all proprietary information, client data, and business strategies as strictly confidential. This obligation survives the termination of this Purchase Order for a period of three (3) years. All data processing shall comply with GDPR and the Spanish Organic Law 3/2018 (LOPDGDD).
6. Revisions: The Purchase Order includes two (2) rounds of revisions per deliverable. Additional revisions requested by the buyer beyond the agreed scope shall be billed at the Web Designer's standard hourly rate of 85.00 EUR per hour.
7. Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the courts of Barcelona, Spain Barcelona, unless otherwise mandated by EU regulations.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Spain Barcelona region.
9. Termination: Either party may terminate this Purchase Order with 15 days' written notice. In the event of termination, the buyer shall pay for all services rendered by the Web Designer up to the date of termination, and the Web Designer shall deliver all work-in-progress assets.
