The Web Designer shall deliver all work in accordance with the specifications outlined in Appendix A (attached separately) and shall comply with all applicable United Kingdom data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

Payment shall be made in accordance with the following milestones, all subject to written acceptance by the Buyer's project manager:

Milestone 1 (30%): £6,120.00 – Due upon approval of wireframes and design mockups (approximately Week 3).
Milestone 2 (40%): £8,160.00 – Due upon completion of front-end development and e-commerce integration (approximately Week 7).
Milestone 3 (30%): £6,120.00 – Due upon successful go-live, deployment, and handover of all source files (approximately Week 10).

All payments shall be made via BACS bank transfer to the Web Designer's nominated account. Invoices must reference this Purchase Order number (PO-2025-BHM-0472) to be processed. Late payments shall accrue interest at the rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. The Web Designer shall deliver all project artefacts, including but not limited to design files (Figma/Sketch), source code, documentation, and credentials, to the Buyer's designated project manager within the timelines specified in the project schedule. The Buyer shall have a period of five (5) working days following each delivery to inspect and either accept or issue a written notice of non-conformity. Failure to respond within this period shall constitute deemed acceptance. All work performed by the Web Designer shall be original and free from any third-party intellectual property claims. The Web Designer warrants that all deliverables shall be fit for the purpose described in this Purchase Order and shall comply with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA standard. Upon full and final payment, all intellectual property rights in the deliverables created specifically for the Buyer under this Purchase Order shall vest in Meridian Digital Solutions Ltd. The Web Designer retains the right to display the completed work in their professional portfolio, subject to the Buyer's prior written consent. Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years. Either party may terminate this Purchase Order by providing fourteen (14) days' written notice. In the event of termination by the Buyer for convenience, the Web Designer shall be compensated for all work completed and accepted up to the date of termination. In the event of termination due to the Web Designer's material breach, the Buyer shall be entitled to a full refund of any pre-paid amounts corresponding to undelivered services. The Web Designer's total aggregate liability under this Purchase Order shall not exceed the total contract value of £20,400.00. Neither party shall be liable for indirect, consequential, or punitive damages. This Purchase Order and any disputes arising in connection herewith shall be governed by and construed in accordance with the laws of England and Wales. Any disputes that cannot be resolved amicably within thirty (30) days shall be subject to the exclusive jurisdiction of the courts of United Kingdom Birmingham, or alternatively, may be referred to mediation through the Centre for Effective Dispute Resolution (CEDR) in Birmingham. Important Note: This Purchase Order constitutes a binding agreement upon signature by both parties. The Web Designer acknowledges receipt of this Purchase Order and confirms acceptance of all terms, conditions, and specifications herein.
