This Purchase Order is issued by Brussels Industrial Fabrication S.A. for the procurement of a professional-grade Welder unit intended for continuous industrial use at our primary manufacturing facility located in Belgium Brussels. The Welder must comply with all applicable European Union safety directives, including CE marking under Directive 2014/35/EU (Low Voltage Directive) and Directive 2014/30/EU (Electromagnetic Compatibility Directive), as well as the specific occupational health and safety regulations enforced by the Belgian Federal Public Service Employment and Labour (SPF Emploi / FOD Werk en Arbeid) for the Brussels-Capital Region.

The Welder specified in this Purchase Order shall be a multi-process unit capable of performing MIG (GMAW), TIG (GTAW), and stick (SMAW) welding operations. The Seller shall deliver the Welder and all associated accessories to the Buyer's facility at Avenue des Industriels 42, 1000 Belgium Brussels, Belgium, no later than 31 July 2025. Delivery shall be made DDP (Delivered Duty Paid) Incoterms 2020, meaning the Seller bears all transport costs, insurance, and any applicable import duties up to the point of unloading at the Belgium Brussels warehouse. The Welder must be crated in accordance with ISO 4126 packaging standards and clearly labelled with the Purchase Order number PO-BE-BRU-2025-04782.

Upon arrival in Belgium Brussels, the Buyer's receiving team will conduct a visual inspection and verify the contents against this Purchase Order. Any discrepancies, damage in transit, or missing components must be reported to the Seller within five (5) business days of delivery. The Seller shall replace or rectify any non-conforming items within ten (10) business days at no additional cost to the Buyer.

Payment for this Purchase Order shall be made in accordance with the following schedule:

  • 30% advance payment (€ 9,060.48) due within ten (10) business days of the Buyer's written acceptance of this Purchase Order.
  • 60% on delivery (€ 18,120.96) due within thirty (30) calendar days of confirmed delivery and successful inspection of the Welder at the Belgium Brussels site.
  • 10% retention (€ 3,020.16) due within sixty (60) calendar days after the completion of the installation, commissioning, and operator training phase.

All payments shall be made via bank transfer to the Seller's designated account. The Buyer reserves the right to withhold payment if the Welder fails to meet the technical specifications outlined in this Purchase Order or if the Seller does not comply with the agreed delivery timeline for Belgium Brussels.

The Welder procured under this Purchase Order must meet the following minimum technical requirements:

  • Rated output: 400A continuous (60% duty cycle at 400A, 100% duty cycle at 250A)
  • Input power: 3-phase, 400V ±10%, 50Hz, 16kVA maximum
  • Welding processes: MIG (GMAW), TIG (GTAW), SMAW (stick), with pulse and synergic control modes
  • Wire diameter range: 0.6mm – 1.6mm (MIG); 1.0mm – 4.0mm (TIG)
  • Gas compatibility: Argon, Helium, CO₂, and mixed gas configurations
  • Operating temperature range: 0°C to 40°C (suitable for Belgium Brussels seasonal conditions)
  • Protection rating: minimum IP23 for indoor workshop use
  • Compliance: CE, RoHS, REACH, and Belgian NEN 1010-1 standards

The Seller shall provide a complete technical data sheet, user manual in both French and Dutch, electrical schematics, and a certificate of conformity for the Welder prior to shipment to Belgium Brussels.

This Purchase Order is governed by the laws of the Kingdom of Belgium. Any disputes arising from the interpretation or execution of this Purchase Order, including but not limited to the delivery, installation, or performance of the Welder in Belgium Brussels, shall be subject to the exclusive jurisdiction of the Commercial Court of Brussels. The Seller warrants that the Welder is free from defects in materials and workmanship for a period of twenty-four (24) months from the date of delivery, in addition to the extended warranty specified in Item 04. The Buyer shall not be liable for any consequential damages, loss of production, or third-party claims arising from the use of the Welder, except in cases of gross negligence or willful misconduct by the Buyer's personnel.

Neither party may assign or transfer this Purchase Order without the prior written consent of the other party. All intellectual property rights related to the Welder's design, firmware, and proprietary technology remain the exclusive property of the Seller. The Buyer is granted a non-exclusive, non-transferable licence to use the Welder for its internal industrial operations in Belgium Brussels.

By signing below, both parties acknowledge and agree to all terms, conditions, specifications, and obligations set forth in this Purchase Order for the procurement and deployment of the Welder at the Belgium Brussels facility.

A scanned or digitally signed copy is considered legally binding under Belgian electronic commerce law (Code de commerce, Livre I, Titre II).
