The Welder unit procured under this Purchase Order must meet the following technical requirements to ensure compatibility with the existing infrastructure at the China Guangzhou facility:

The Seller shall deliver all items specified in this Purchase Order to the Buyer's designated warehouse at No. 288 Tianhe Road, Tianhe District, China Guangzhou, Guangdong Province, China. The delivery shall be made on a DDP (Delivered Duty Paid) basis as per Incoterms 2020. The Welder units and all associated equipment must arrive at the China Guangzhou site no later than August 15, 2025. The Seller is responsible for all packaging, crating, and export documentation required for customs clearance at Guangzhou Port. The Welder must be packaged in shock-absorbing, moisture-resistant crates suitable for maritime and overland transport to China Guangzhou.
Payment for this Purchase Order shall be structured as follows:
- 30% Advance Payment ($29,671.80 USD) – Due within 10 business days of Purchase Order acceptance via irrevocable Letter of Credit (LC) issued by Bank of China, Guangzhou Branch.
- 50% Milestone Payment ($49,453.00 USD) – Due upon confirmed shipment of the Welder units from the Seller's facility, evidenced by Bill of Lading.
- 20% Final Payment ($19,781.20 USD) – Due within 15 business days after successful installation, commissioning, and acceptance of the Welder at the China Guangzhou facility.
All payments shall be made in US Dollars (USD) via international wire transfer to the Seller's designated bank account. The Buyer reserves the right to withhold the final 20% payment if the Welder fails to meet the specifications outlined in this Purchase Order or if the commissioning process in China Guangzhou is not completed to the Buyer's satisfaction.
6.1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon written acceptance by both parties. All terms herein govern the procurement, delivery, installation, and warranty of the Welder for use in China Guangzhou.
6.2. The Seller warrants that the Welder and all associated components are new, unused, and free from defects in material and workmanship. The warranty period of 24 months shall commence from the date of successful commissioning at the China Guangzhou site.
6.3. In the event of any defect or non-conformity of the Welder discovered within the warranty period, the Seller shall, at its own expense, repair or replace the defective unit within 30 calendar days. Spare parts for the Welder shall be made available for a minimum of 10 years from the date of delivery to China Guangzhou.
6.4. The Seller shall provide a comprehensive operation and maintenance manual for the Welder in both English and Mandarin Chinese to ensure all operators at the China Guangzhou facility can safely and effectively utilize the equipment.
6.5. The Seller shall assign a qualified technical engineer to travel to China Guangzhou for on-site installation, commissioning, and a 5-day operator training program. All travel, accommodation, and per diem expenses for this service are included in the Purchase Order total.
6.6. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government trade restrictions affecting import/export to China Guangzhou, or pandemics.
6.7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved through arbitration by the International Chamber of Commerce (ICC) in Geneva, Switzerland.
6.8. The Buyer shall ensure that all local regulations, safety standards, and environmental compliance requirements applicable to welding operations in China Guangzhou are met. The Seller shall provide all necessary technical documentation to support the Buyer's regulatory filings with the Guangzhou Municipal Bureau of Industry and Information Technology.
