The Seller shall deliver all Welder equipment and accessories listed in this Purchase Order to the Buyer's primary fabrication facility located at 42 Corniche El-Nil Street, El-Montazah District, Alexandria, Egypt. The delivery shall be made on a DDP (Delivered Duty Paid) basis to Alexandria Port, with final overland transport to the Buyer's Alexandria workshop completed no later than 30 August 2025. The Seller is responsible for all packaging, crating, and marine transport from the point of origin in Germany to the port of Alexandria, Egypt. Upon arrival at Alexandria Port, the Seller's designated logistics agent shall coordinate customs clearance in accordance with Egyptian import regulations and the relevant Egyptian Standard Organization (ESO) requirements for industrial welding equipment. Installation, commissioning, and operator training for the Welder units shall be conducted on-site in Alexandria over a period of five (5) working days following delivery. The Seller shall provide a minimum of two (2) certified welding engineers to oversee the installation of the Welder positioners and fume extraction units at the Alexandria facility.
All Welder equipment supplied under this Purchase Order shall comply with the following standards and specifications, which are mandatory for operation within the industrial zones of Egypt Alexandria:
- IEC 60974-1: Safety requirements for electric arc welding equipment.
- ISO 14174: Safety requirements for electric arc welding equipment.
- Egyptian Standard EGY 2345: Industrial welding machines – performance and safety (applicable in Egypt Alexandria industrial parks).
- IP54 minimum ingress protection rating on all Welder power units to withstand the high humidity and salt-laden coastal air characteristic of the Alexandria shoreline.
- Operating voltage: 380V ± 10%, 3-Phase, 50 Hz (standard Egyptian electrical supply in Alexandria).
- All Welder control panels and operator interfaces shall include bilingual labeling in English and Arabic for use by the local workforce in Egypt Alexandria.
- Welding fume extraction units shall meet EU Directive 2009/148/EC and Egyptian occupational health regulations enforced by the Alexandria Governorate Industrial Safety Authority.
- Advance Payment: 30% of the total Purchase Order value ($31,018.80) shall be remitted via irrevocable Letter of Credit (LC) issued by Bank of Alexandria, Egypt, within ten (10) business days of the Buyer's written acceptance of this Purchase Order.
- Balance Payment: 70% of the total Purchase Order value ($72,377.20) shall be due within forty-five (45) calendar days following successful delivery, installation, and commissioning of all Welder equipment at the Alexandria site, confirmed by a signed Certificate of Acceptance.
- All payments shall be made in United States Dollars (USD) via wire transfer to the Seller's designated bank account. The Buyer's bank in Egypt Alexandria shall handle all applicable foreign exchange conversions and Egyptian Central Bank reporting requirements.
- Late payments shall incur interest at a rate of 1.5% per month, calculated from the due date until full settlement.
The Seller warrants that all Welder equipment supplied under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of the Certificate of Acceptance in Alexandria, Egypt. During the warranty period, the Seller shall provide remote technical support via telephone and video conference within four (4) business hours, and on-site service in Egypt Alexandria within ten (10) business days for any confirmed defect. The Seller shall maintain a dedicated spare parts inventory for the specific Welder models listed in this Purchase Order for a minimum of seven (7) years from the date of delivery. Spare parts for the Welder units shall be available for purchase through the Seller's regional distributor in Alexandria, Egypt, at the prices listed in the attached Spare Parts Price Schedule (Appendix A).
- This Purchase Order constitutes the entire agreement between the Buyer and the Seller regarding the procurement of the Welder equipment described herein and supersedes all prior negotiations, representations, or agreements relating to the subject matter.
- Any modification to this Purchase Order, including changes to the Welder specifications, quantities, delivery schedule, or the Alexandria delivery address, must be made in writing and signed by authorized representatives of both parties.
- The Seller shall not assign or subcontract any obligation under this Purchase Order without the prior written consent of the Buyer.
- In the event of a dispute arising from this Purchase Order, the parties shall first attempt to resolve the matter through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to arbitration under the rules of the Egyptian Arbitration Centre, with the seat of arbitration in Alexandria, Egypt. The language of arbitration shall be English.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, with particular reference to the Egyptian Commercial Code and the Egyptian Civil Code provisions applicable to international sale of goods.
- The Seller shall provide the Buyer with all necessary documentation for Egyptian customs clearance, including the commercial invoice, packing list, bill of lading, certificate of origin, and any required conformity certificates for the Welder equipment entering Egypt through Alexandria Port.
- Force majeure events, including but not limited to port closures at Alexandria, national strikes in Egypt, or shipping disruptions in the Mediterranean Sea, shall excuse delayed performance for the duration of the event, provided the affected party notifies the other in writing within five (5) days.
By signing below, the authorized representatives of both parties acknowledge and agree to all terms, conditions, specifications, and obligations set forth in this Purchase Order for the procurement and delivery of the Welder equipment to the Buyer's facility in Egypt Alexandria.
