This Purchase Order mandates that all Welder units, accessories, and associated equipment shall be delivered to the Buyer's facility located in Peenya Industrial Area, Bangalore, Karnataka, India. The supplier shall arrange all logistics, including inland freight from Noida to Bangalore, unloading, and placement at the designated workshop bays. Delivery is expected no later than 30 June 2025. The supplier must ensure that the Welder units are packed in moisture-resistant, shock-absorbing crates suitable for the monsoon climate conditions prevalent in Bangalore during June. All packaging must bear the destination address clearly marked as "South India Fabrication & Engineering Works, Peenya, Bangalore – 560058, Karnataka, India." The supplier is responsible for obtaining any necessary transport permits for heavy industrial equipment movement within Karnataka state boundaries.
TERMS AND CONDITIONS- Welder Quality & Compliance: All Welder units supplied under this Purchase Order shall conform to IS 8118 (Welding Equipment – Safety Requirements) and IEC 60974-1 international standards. Each Welder must carry a valid BIS certification mark and a manufacturer's test certificate. The supplier warrants that the Welder equipment is new, unused, and free from any manufacturing defects.
- Warranty: The supplier shall provide a minimum 24-month comprehensive warranty on all Welder units, covering parts and labour. The warranty period commences from the date of successful commissioning at the Bangalore site. During the warranty period, the supplier shall respond to any Welder malfunction within 48 hours of notification.
- Payment Schedule: 30% advance payment upon acceptance of this Purchase Order; 50% upon delivery and physical inspection of the Welder units at the Bangalore facility; 20% upon successful commissioning, operator training completion, and issuance of the final acceptance certificate.
- Acceptance & Inspection: The Buyer reserves the right to inspect each Welder unit upon arrival in Bangalore. Any unit found to be damaged, defective, or non-conforming to the specifications listed in this Purchase Order shall be rejected and replaced at the supplier's sole cost within 10 working days.
- Intellectual Property & Documentation: The supplier shall furnish complete operation manuals, electrical schematics, spare parts lists, and maintenance schedules for each Welder model in English. All documentation must be delivered in both hard copy (3 sets) and digital PDF format.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-imposed lockdowns, or industrial strikes in India. However, the supplier must notify the Buyer in writing within 48 hours of any such event affecting delivery to Bangalore.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.
- Confidentiality: Both parties agree to maintain confidentiality regarding the pricing, specifications, and commercial terms outlined in this Purchase Order. No information shall be disclosed to third parties without prior written consent.
