2. Purchase Order Item Description

This Purchase Order is issued for the procurement of a heavy-duty industrial Welder unit intended for continuous fabrication work at the buyer's manufacturing facility located in Iraq Baghdad. The Welder must meet the technical specifications outlined below and comply with international safety standards (IEC 60974-1, ISO 3834) as well as the local regulatory requirements enforced by the Iraqi Ministry of Industry and Mineral Resources for equipment operating in Iraq Baghdad.

3. Delivery Terms & Logistics to Iraq Baghdad

The Seller shall deliver the Welder units and all associated equipment to the buyer's designated receiving warehouse at Al-Mansour Industrial Zone, Iraq Baghdad, within 45 calendar days from the date of this Purchase Order acceptance. Delivery terms are DDP (Delivered Duty Paid) Iraq Baghdad in accordance with Incoterms 2020. All export packaging, freight, insurance, customs clearance, import duties, and last-mile transportation within Iraq Baghdad shall be the sole responsibility of the Seller. The Welder must be packed in export-grade wooden crates with moisture-barrier lining suitable for the high-temperature and dusty conditions prevalent in Iraq Baghdad during the summer months. The Seller must provide a Bill of Lading, Certificate of Origin, and a Packing List no later than 5 business days prior to the scheduled arrival at Baghdad International Airport (BGW) or the port of Umm Qasr.

4. Payment Terms
  • 30% Advance Payment: $23,550.00 due within 7 business days of this Purchase Order being countersigned by both parties.
  • 50% On Shipment: $39,250.00 due upon presentation of the Bill of Lading and shipping documents confirming dispatch of the Welder to Iraq Baghdad.
  • 20% On Acceptance: $15,700.00 due within 14 days after successful on-site commissioning and sign-off by the buyer's engineering team at the Iraq Baghdad facility.
  • All payments shall be made via irrevocable Letter of Credit (LC) issued by a recognized Iraqi bank in favor of the Seller, denominated in US Dollars.
5. Technical Requirements & Compliance

The Welder procured under this Purchase Order must be rated for continuous operation in ambient temperatures ranging from 15 °C to 55 °C, which reflects the typical climatic conditions in Iraq Baghdad. The unit must incorporate a robust cooling system with dust-sealed ventilation to withstand the particulate-laden air common in industrial zones of Iraq Baghdad. All electrical components must be rated for 380V ± 10%, 50 Hz three-phase supply. The Seller shall provide a full technical data sheet, electrical single-line diagram, and a user manual in both English and Arabic to ensure safe operation by the workforce at the Iraq Baghdad site. The Welder must carry CE marking and, where applicable, IEC certification. A pre-shipment inspection (PSI) by a mutually agreed third-party agency shall be conducted at the Seller's facility before the Welder is dispatched to Iraq Baghdad.

6. Warranty & After-Sales Support

The Seller guarantees the Welder and all ancillary equipment against defects in materials and workmanship for a period of 24 months from the date of acceptance at the Iraq Baghdad site. During the warranty period, the Seller shall provide remote technical support within 4 business hours and, if remote resolution is not possible, dispatch a certified technician to Iraq Baghdad within 10 business days. Spare parts for the Welder shall be available from the Seller for a minimum of 10 years from the date of this Purchase Order. The warranty does not cover damage resulting from misuse, unauthorized modification, or failure to follow the operating manual.

7. General Terms & Conditions
  • This Purchase Order constitutes the entire agreement between the Buyer and the Seller regarding the procurement of the Welder for the Iraq Baghdad project and supersedes all prior negotiations, representations, or agreements.
  • Any modification or amendment to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
  • The Seller shall not assign or subcontract any obligation under this Purchase Order without the prior written consent of the Buyer.
  • In the event of a dispute arising from this Purchase Order, the parties shall first attempt resolution through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Geneva, Switzerland. The governing law shall be the United Nations Convention on Contracts for the International Sale of Goods (CISG).
  • The Seller shall maintain adequate product liability insurance covering the Welder during transit to and operation in Iraq Baghdad for the duration of the warranty period.
  • Force majeure events, including but not limited to natural disasters, war, or government-imposed trade restrictions affecting the Iraq Baghdad region, shall relieve the affected party from performance obligations for the duration of the event, provided written notice is given within 5 days.
8. Acceptance & Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, specifications, and obligations set forth in this Purchase Order for the supply of the Welder to the Iraq Baghdad facility. This Purchase Order becomes effective upon the later of the two signature dates.
