The Welder unit and all associated equipment referenced in this Purchase Order must meet the following mandatory criteria before acceptance at the Japan Osaka facility:
- The Welder shall operate on a 200V/3-phase/50Hz power supply, which is the standard industrial electrical configuration in Japan Osaka. A voltage conversion module is not acceptable; the unit must be natively rated for this specification.
- All electrical components of the Welder must carry the PSE (Product Safety of Electrical Appliances & Materials) certification mark, as required by Japanese law for equipment sold and operated within Japan Osaka.
- The Welder must comply with JIS C 1001 (Electrical Safety) and JIS Z 8330 (Welding Fume Control) standards to ensure safe operation in the confined workshop environments typical of Japan Osaka industrial zones.

Delivery shall be made on a DDP (Delivered Duty Paid) basis to the Port of Osaka, with final overland transport to the Japan Osaka facility arranged and paid for by the Supplier. The Supplier is responsible for all export documentation from the United States, including commercial invoices, packing lists, certificates of origin, and any required export licenses. Upon arrival at the Port of Osaka, the Supplier's designated customs broker shall handle all import clearance procedures in Japan Osaka. The Buyer shall provide a Bill of Lading notification at least ten (10) business days prior to the vessel's scheduled arrival at the Port of Osaka to allow adequate preparation of the Japan Osaka receiving dock and installation area.
Payment for this Purchase Order shall be made in Japanese Yen (JPY) via wire transfer to the Supplier's designated bank account. The payment schedule is as follows: thirty percent (30%) of the Purchase Order total shall be due upon execution of this Purchase Order as a confirmed deposit; fifty percent (50%) shall be due upon the Supplier's submission of a verified Bill of Lading confirming shipment from the United States; and the remaining twenty percent (20%) shall be due within forty-five (45) calendar days following successful commissioning and acceptance of the Welder at the Japan Osaka facility. Late payments shall incur an interest charge of 1.5% per month. The Buyer reserves the right to withhold the final payment tranche if the Welder fails to meet any specification outlined in Section 3 of this Purchase Order.
Upon delivery to the Japan Osaka facility, the Buyer's engineering team shall conduct a comprehensive inspection and functional test of the Welder and all ancillary equipment within fifteen (15) business days. The inspection shall verify that the Welder operates correctly on the 200V/3-phase/50Hz supply, that all safety interlocks function as designed, and that the fume extraction system meets the particulate capture rate specified in this Purchase Order. If any defect, non-conformance, or damage is identified during the inspection period, the Buyer shall notify the Supplier in writing within five (5) business days. The Supplier shall, at its own expense, repair or replace the non-conforming Welder component within thirty (30) days of notification. Failure to rectify the issue within the stipulated period shall entitle the Buyer to cancel the affected line items of this Purchase Order and seek a full refund of all amounts paid for the rejected items.
- This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order that cannot be resolved through good-faith negotiation within sixty (60) days shall be submitted to binding arbitration under the rules of the Japan Commercial Arbitration Association (JCAA), with the seat of arbitration in Japan Osaka.
- The Supplier warrants that the Welder and all components are free from liens, encumbrances, and intellectual property claims, and that the sale and delivery of the Welder to Japan Osaka does not violate any export control regulations of the United States or import regulations of Japan.
- Neither party shall be liable for delays or failures in performance caused by acts of God, natural disasters (including earthquakes, which are a recognized risk in Japan Osaka), war, government sanctions, or other events beyond the reasonable control of the affected party.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements, whether written or oral.
- Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
