This Purchase Order mandates the delivery of all specified Welder units and associated welding consumables to the buyer's primary fabrication facility located at 45 Abay Avenue, Almaty, Kazakhstan. The seller shall arrange all logistics, including export packaging, international freight via the port of Rotterdam to the Almaty International Logistics Hub, and final road transport to the designated site in Kazakhstan Almaty. All goods must be packaged in export-grade wooden crates with moisture barriers to withstand the temperature variations encountered during transit to Kazakhstan Almaty, where winter temperatures can drop below minus 25°C and summer temperatures exceed 35°C. The Welder units must be calibrated and tested prior to shipment, with a certificate of conformity issued under the EAC (Eurasian Conformity) marking regime as required for industrial equipment entering the Kazakhstan market.
4. PAYMENT TERMSPayment for this Purchase Order shall be made in United States Dollars (USD) via irrevocable Letter of Credit issued by Jusan Bank, Almaty branch, Kazakhstan. The payment schedule is as follows: 30% advance payment upon confirmation of this Purchase Order, 50% upon presentation of Bill of Lading and shipping documents, and the remaining 20% within 30 days of successful delivery and acceptance of the Welder equipment at the Kazakhstan Almaty site. All bank charges on the buyer's side shall be borne by Almaty Industrial Construction LLC.
5. TERMS AND CONDITIONS- This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG) and the commercial laws of the Republic of Kazakhstan.
- The Welder units supplied under this Purchase Order must carry a minimum 24-month warranty from the date of delivery in Kazakhstan Almaty, covering all manufacturing defects, electrical faults, and control panel malfunctions.
- The seller shall provide full technical documentation, including operation manuals, wiring diagrams, and maintenance schedules, in both English and Russian to ensure compliance with local workforce requirements in Kazakhstan Almaty.
- Delivery is strictly on a CIF (Cost, Insurance, and Freight) basis to Almaty, Kazakhstan. Risk of loss transfers to the buyer upon arrival at the Almaty logistics hub.
- Any delay in delivery beyond the stipulated deadline of 05 August 2025 shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10% of the total value.
- The buyer reserves the right to inspect all Welder units and accessories upon arrival in Kazakhstan Almaty. Any unit found to be defective, damaged in transit, or non-conforming to the specifications listed in this Purchase Order shall be rejected and replaced at the seller's sole expense within 14 business days.
- All equipment must comply with the technical regulations of the Eurasian Economic Union (EAEU) and hold valid EAC certification prior to customs clearance in Kazakhstan.
- Force majeure events, including but not limited to natural disasters, government sanctions, or border closures affecting the Kazakhstan Almaty region, shall be addressed through mutual written agreement between the parties.
- This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations, including warranty periods, are fully discharged.
