The Welder equipment and all associated items listed in this Purchase Order shall be delivered to the buyer's facility located at 1288 Ratchada Road, Din Daeng District, Thailand Bangkok 10400, Thailand. Delivery shall be made on a CIF (Cost, Insurance, and Freight) basis to the designated Thailand Bangkok warehouse. The seller is responsible for all packaging, crating, and export documentation required for the Welder shipment. The estimated delivery window is within 45 calendar days from the date of this Purchase Order. All goods must comply with Thai Industrial Standards Institute (TISI) regulations and the Electrical Safety Institute (ESI) of Thailand prior to arrival in Thailand Bangkok. The seller shall provide a Bill of Lading, Certificate of Origin, and all necessary customs clearance documents to facilitate smooth importation into Thailand Bangkok.
- Payment Method: Irrevocable Letter of Credit (LC) at sight, issued by a Thai commercial bank in Thailand Bangkok, in favor of the seller.
- Advance Payment: 30% of the total Purchase Order value ($16,473.07) shall be paid within 10 business days of the Purchase Order confirmation.
- Balance Payment: 70% of the total Purchase Order value ($38,437.15) shall be settled upon presentation of shipping documents and proof of delivery to the Thailand Bangkok site.
- Currency: All amounts are denominated in United States Dollars (USD). Conversion to Thai Baht (THB) shall be at the prevailing Bank of Thailand rate on the date of payment.
- Payment Deadline: All payments must be completed within 30 days of invoice presentation. Late payments shall incur a penalty of 1.5% per month.
The seller warrants that all Welder units supplied under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of delivery to Thailand Bangkok. During the warranty period, the seller shall provide remote technical support via telephone and video conference, and shall dispatch replacement parts to Thailand Bangkok within five (5) business days at no additional cost to the buyer. On-site service by a certified Welder technician shall be arranged within fourteen (14) days if remote resolution is not achievable. The seller shall also provide comprehensive operator training for the Welder equipment at the buyer's Thailand Bangkok facility, covering a minimum of three (3) full working days, at no extra charge.
- This Purchase Order constitutes a binding agreement between the buyer and seller upon signature by both parties.
- The Welder equipment must meet or exceed the specifications outlined in this Purchase Order. Any deviation requires prior written approval from the buyer's Thailand Bangkok engineering team.
- The seller shall not subcontract any portion of the Welder manufacturing or assembly without the buyer's written consent.
- Force majeure events, including but not limited to natural disasters affecting the Thailand Bangkok region, shall extend delivery timelines by a mutually agreed period.
- Disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the Thai Arbitration Institute, with the seat of arbitration in Thailand Bangkok.
- This Purchase Order is governed by the laws of the Kingdom of Thailand and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
- All intellectual property related to the Welder technology remains the property of the seller. The buyer is granted a non-exclusive license to operate the Welder equipment at the Thailand Bangkok facility.
- The buyer reserves the right to inspect the Welder equipment upon arrival in Thailand Bangkok and to reject any unit that does not conform to the agreed specifications.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the supply of Welder equipment to Thailand Bangkok. This document, together with any attached annexes, forms the complete and exclusive agreement between the parties regarding this transaction.
