Delivery Destination: CIFSA Main Plant, Av. Francisco de Miranda, Torre Empresarial, Chacao, Venezuela Caracas, 1060.
Port of Entry: Puerto La Cruz, Anzoátegui, Venezuela (for ocean freight), followed by overland transport to the Venezuela Caracas facility.
Required Delivery Date: No later than August 15, 2025. The Welder units and all associated equipment must arrive at the Venezuela Caracas site fully packaged, crated, and ready for installation.
Incoterms: CIF (Cost, Insurance, and Freight) — Puerto La Cruz, Venezuela. Risk transfers to the buyer upon arrival at the Venezuelan port. All customs documentation, including the commercial invoice, packing list, bill of lading, certificate of origin, and Venezuelan import license (permiso de importación), must be prepared by the supplier and forwarded to CIFSA no fewer than 30 days prior to shipment.
Installation: The supplier shall dispatch a certified Welder equipment technician to Venezuela Caracas within five (5) business days of delivery to perform full installation, electrical connection to the 480V 3-phase supply, calibration, and operator training for a minimum of two (2) full working days at the Caracas facility.
This Purchase Order shall be settled under the following terms:
- 40% Advance Payment: $38,980.40 — Due within ten (10) business days of Purchase Order acceptance, via irrevocable Letter of Credit (LC) issued by Banco Mercantil, Caracas, Venezuela, in favor of the supplier.
- 50% on Shipment: $48,725.50 — Payable upon presentation of the Bill of Lading, commercial invoice, and certificate of origin confirming the Welder equipment has been loaded and shipped.
- 10% on Commissioning: $9,745.10 — Payable within fifteen (15) business days after successful installation, testing, and sign-off of the Welder units at the Venezuela Caracas facility by the CIFSA engineering team.
All payments shall be made in United States Dollars (USD) via wire transfer to the supplier's designated bank account. The buyer reserves the right to withhold the final 10% payment if the Welder equipment fails to meet the specifications outlined in this Purchase Order or if the commissioning process is not completed to the satisfaction of the buyer's technical team.
The Welder units procured under this Purchase Order must comply with the following standards and requirements:
- IEC 60974-1 (Welding equipment — General requirements and test methods)
- IEC 60974-1-1 (Safety requirements for arc welding equipment)
- CE Marking and ISO 9001:2015 certification
- Electrical rating: 480V, 3-phase, 60Hz (compatible with the Venezuelan electrical grid standard in Caracas)
- Operating ambient temperature range: 0°C to 45°C (suitable for the tropical climate of Venezuela Caracas)
- Duty cycle: Minimum 60% at rated current for continuous industrial use
- All documentation, user manuals, and safety data sheets must be provided in both English and Spanish to facilitate use by the Venezuelan Caracas workforce.
The supplier shall provide a minimum warranty period of twenty-four (24) months from the date of successful commissioning at the Venezuela Caracas site, covering all parts and labor for the Welder units, torches, positioners, and fume extraction arms. The warranty shall include:
- Free replacement of defective components within the warranty period.
- Remote technical support via video conference within four (4) business hours of a reported fault.
- On-site service in Venezuela Caracas within ten (10) business days for critical failures that cannot be resolved remotely.
- Availability of spare parts for a minimum of ten (10) years from the date of this Purchase Order.
- This Purchase Order constitutes a binding agreement between CIFSA (buyer) and Global Welding Solutions International GmbH (supplier) upon written acceptance by both parties.
- Any modifications to this Purchase Order, including changes to the Welder specifications, quantities, delivery schedule, or payment terms, must be made in writing and signed by authorized representatives of both parties.
- The supplier acknowledges that the Welder equipment is intended for heavy industrial fabrication work at the buyer's facility in Venezuela Caracas and shall be suitable for the operating conditions described herein.
- Force majeure events, including but not limited to natural disasters, government sanctions, or port closures affecting Venezuelan import operations, shall be addressed through mutual negotiation. Neither party shall be liable for delays caused by such events, provided written notice is given within five (5) business days.
- Governing law: This Purchase Order shall be governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved by arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Geneva, Switzerland.
- The supplier warrants that the Welder equipment and all accessories are free from liens, encumbrances, and intellectual property claims.
• All Welder equipment must be clearly labeled with the Purchase Order number (PO-VC-2025-04872) on each crate and in the shipping documentation.
• Venezuelan customs regulations require that all electrical equipment imported for industrial use in Venezuela Caracas be accompanied by a conformity certificate recognized by INE (Instituto Nacional de Electricidad). The supplier is responsible for obtaining this certification prior to shipment.
• The buyer's site in Venezuela Caracas operates on a 60Hz electrical grid. The supplier must confirm that all Welder units and accessories are rated for 60Hz operation. 50Hz-only equipment will be rejected upon arrival.
• A pre-shipment inspection (PSI) by a mutually agreed third-party inspection agency will be conducted at the supplier's facility in München, Germany, at the supplier's cost, no fewer than ten (10) business days before the scheduled shipment date.
