1. Scope of Work — Aerospace Engineer Services in Italy Milan
This Quotation Estimate is issued by AeroTech Consulting S.r.l. to formally propose the engagement of a senior Aerospace Engineer to deliver comprehensive structural design, finite element analysis, and ENAC/ESA regulatory compliance services for the AvioDynamics S.p.A. satellite programme. All professional activities described herein will be executed by a qualified Aerospace Engineer operating from our dedicated facility in Italy Milan, ensuring proximity to the client's engineering team and facilitating real-time collaboration throughout the project lifecycle.
The Aerospace Engineer assigned to this engagement holds a Ph.D. in Aerospace Engineering from Politecnico di Milano, possesses over fifteen years of experience in spacecraft structural design, and is fully registered with the Italian Order of Engineers (Ordine degli Ingegneri della Provincia di Milano). The scope encompasses preliminary design reviews, detailed structural sizing, thermal-mechanical coupling analyses, vibration and acoustic qualification support, and preparation of all documentation required for ENAC and ESA certification milestones.

3. Terms and Conditions of This Quotation Estimate
General Provisions
- This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, all rates and availability of the Aerospace Engineer must be reconfirmed in writing.
- All services will be performed by a qualified Aerospace Engineer under the direct supervision of AeroTech Consulting S.r.l. The named Aerospace Engineer may be substituted only with the prior written consent of the client, and any replacement shall possess equivalent or superior qualifications.
- Payment terms: 30% advance upon contract signature, 40% upon completion of detailed FEA deliverables (Item 2.3), and 30% upon final handover and acceptance. Invoices are payable within thirty (30) days of receipt via bank transfer to the AeroTech account in Italy Milan.
- All intellectual property generated specifically for the AvioDynamics S.p.A. project shall vest in the client upon full payment. General methodologies, templates, and pre-existing tools of the Aerospace Engineer remain the property of AeroTech Consulting S.r.l.
- Confidentiality: Both parties agree to maintain strict confidentiality of all technical data, design information, and commercial terms exchanged during the engagement, in accordance with Italian Law No. 633/1941 and applicable EU data protection regulations (GDPR).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Italy Milan or elsewhere.
- Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes shall be submitted to the exclusive jurisdiction of the Tribunal of Milan, Italy.
- This Quotation Estimate does not constitute a binding contract until a formal Service Agreement is executed by both parties. AeroTech Consulting S.r.l. reserves the right to withdraw this estimate at any time prior to acceptance.
