This Quotation Estimate is issued by Meridian Aerospace Consulting Group, LLC, a licensed engineering firm headquartered in United States San Francisco, in response to the formal request for professional services submitted by Bay Area Advanced Propulsion Systems, Inc. The Aerospace Engineer engaged under this Quotation Estimate shall perform the following duties and deliverables over a projected engagement period of fourteen (14) calendar months, commencing upon mutual execution of the associated Statement of Work:

  • Propulsion System Architecture Design: Development of detailed CAD models, thermal analyses, and structural integrity assessments for the hybrid-electric propulsion unit, compliant with FAA Part 33 and Part 34 regulations as applicable in the United States.
  • Computational Fluid Dynamics (CFD) Analysis: Execution of high-fidelity CFD simulations to optimize intake geometry, compressor blade profiles, and exhaust plume characteristics, with results validated against wind tunnel test data obtained at facilities within the United States San Francisco Bay Area.
  • Structural and Fatigue Analysis: Finite Element Analysis (FEA) of all load-bearing components, including turbine disks, shaft assemblies, and mounting brackets, to ensure compliance with AS9100D quality management standards and applicable airworthiness directives.
  • Systems Integration and Testing Oversight: Supervision of bench testing, environmental qualification (vibration, thermal cycling, humidity), and full-system integration trials conducted at the client's facility in South San Francisco, California.
  • Regulatory and Certification Support: Preparation of technical documentation, design assurance reports, and liaison with the Federal Aviation Administration (FAA) Western-Pacific Region office to facilitate type certification of the propulsion system.

In accordance with the terms of this Quotation Estimate, payment shall be structured as follows:

  • 25% Advance Payment: Due upon execution of the Statement of Work and receipt of the signed Quotation Estimate by both parties. Amount: $1,398,836.25.
  • Monthly Invoicing: Remaining balance invoiced on the 1st business day of each calendar month, payable within thirty (30) days of invoice date (Net-30).
  • Final Payment: Due within fifteen (15) days of successful delivery of all final deliverables and written acceptance by the client.
  • This Quotation Estimate assumes the client will provide access to all necessary test facilities, raw materials, and preliminary design data located within the United States San Francisco area.
  • Costs for third-party wind tunnel testing, materials procurement, and manufacturing of prototype components are excluded and will be quoted separately.
  • The Aerospace Engineer's professional liability insurance is maintained at a minimum of $5,000,000 per occurrence, as required for engineering services in the State of California.
  • Any scope changes exceeding ten percent (10%) of the original deliverables will require a formal Change Order and revised Quotation Estimate prior to implementation.

This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issuance. Acceptance of this Quotation Estimate constitutes agreement to all terms, conditions, rates, and deliverables specified herein. Upon acceptance, a formal Statement of Work (SOW) and Master Services Agreement (MSA) will be executed by both parties. This document does not constitute a binding contract until countersigned by an authorized representative of both Meridian Aerospace Consulting Group, LLC and Bay Area Advanced Propulsion Systems, Inc.

  • All services shall be performed in accordance with applicable federal, state (California), and local regulations governing aerospace engineering practice in the United States.
  • The Aerospace Engineer shall maintain strict confidentiality of all proprietary data, design information, and trade secrets disclosed by the client, as further detailed in the Non-Disclosure Agreement (NDA) referenced in the MSA.
  • Disputes arising from this Quotation Estimate or the subsequent SOW shall be resolved through binding arbitration in the United States San Francisco jurisdiction, in accordance with the rules of the American Arbitration Association.
  • Meridian Aerospace Consulting Group, LLC reserves the right to assign qualified substitute personnel of equivalent or superior credentials, provided prior written notice is given to the client.
  • Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or pandemics affecting operations in the United States San Francisco area, shall extend project timelines on a day-for-day basis without penalty to either party.
