This Quotation Estimate is issued by Shanghai Meridian Architectural Design Co., Ltd. (hereinafter referred to as the "Architect") in response to the formal request from Shanghai Horizon Development Group Co., Ltd. for comprehensive architectural design and consultancy services. The project, designated as the Shanghai Riverside Commercial & Residential Complex, is located in the Huangpu District of China Shanghai. The total built area is estimated at 125,000 square meters, comprising two residential towers (each 42 stories), a podium commercial section, underground parking (3 levels), and landscaped public plazas.
The Architect confirms that this Quotation Estimate reflects the full scope of professional architectural services required to deliver the project from conceptual design through to construction documentation, in full compliance with the Urban and Rural Planning Law of the People's Republic of China, the Construction Law of the PRC, and all applicable local building codes and regulations governing China Shanghai.
The Architect shall provide the following professional services as detailed in this Quotation Estimate:
- Conceptual Design Phase: Development of massing studies, site analysis, zoning compliance review, and presentation of three (3) conceptual design alternatives for client approval. All designs shall reflect the urban character and planning guidelines specific to China Shanghai.
- Schematic Design Phase: Refinement of the approved concept into detailed schematic drawings, including floor plans, elevations, sections, and 3D renderings. Coordination with structural, MEP, and landscape consultants.
- Design Development Phase: Production of detailed architectural drawings, material specifications, façade design, interior layout planning, and BIM (Building Information Modeling) coordination. The Architect shall ensure all deliverables meet the review requirements of the Shanghai Municipal Planning Bureau.
- Construction Documentation Phase: Full set of construction drawings, technical specifications, and as-built documentation. The Architect shall attend all planning and construction permit review meetings with the relevant China Shanghai government authorities.
- Construction Administration: Site supervision, design queries resolution, value engineering, and certification of contractor submissions. The Architect shall conduct bi-weekly site inspections throughout the construction period.
- Post-Completion Services: As-built documentation, defect liability period support (12 months), and handover assistance.

The Client shall remit payment to the Architect in accordance with the following milestone-based schedule, as stipulated in this Quotation Estimate:
- Advance Payment (15%): ¥ 3,898,680 – Due within 14 business days of contract execution.
- Conceptual Design Approval (10%): ¥ 2,599,120 – Due upon written approval of the selected concept.
- Schematic Design Approval (15%): ¥ 3,898,680 – Due upon approval of schematic drawings.
- Design Development & Documentation (25%): ¥ 6,497,800 – Due in two equal installments upon submission of DD and CD packages.
- Construction Administration (25%): ¥ 6,497,800 – Payable monthly in equal installments during the construction period.
- Post-Completion & Final (10%): ¥ 2,599,120 – Due upon project handover and completion of the defect liability period.
- This Quotation Estimate is valid for a period of sixty (60) calendar days from the date of issue. Beyond this period, the Architect reserves the right to revise fees due to market fluctuations in China Shanghai.
- All fees quoted are in Renminbi (RMB) and are subject to 6% Value Added Tax (VAT) as per the tax regulations of the People's Republic of China. The Architect shall issue a compliant VAT invoice (fapiao) upon each payment.
- The Architect warrants that all design deliverables shall comply with the Code for Design of High-Rise Civil Buildings (GB 50045), the Code for Fire Protection Design of Buildings (GB 50016), and all planning regulations issued by the Shanghai Municipal People's Government.
- Any variation in scope beyond 10% of the original Quotation Estimate shall be subject to a supplementary agreement signed by both parties.
- The Architect shall maintain professional indemnity insurance with a minimum coverage of ¥ 50,000,000, valid throughout the project duration in China Shanghai.
- Intellectual property of all design documents produced under this engagement shall vest in the Client upon full payment. The Architect retains the right to use the project for portfolio and academic purposes, subject to the Client's written consent for public disclosure.
- Disputes arising from this Quotation Estimate or the subsequent contract shall be resolved through arbitration by the Shanghai International Arbitration Center (SHIAC) in accordance with its rules of procedure.
- The Architect shall not subcontract any portion of the architectural design services without prior written consent from the Client. All sub-consultants engaged shall be licensed professionals registered in China.
- Force majeure events, including but not limited to natural disasters, government policy changes, or public health emergencies affecting China Shanghai, shall relieve the affected party from performance obligations for the duration of the event.
By signing below, both parties acknowledge and accept the terms, conditions, and fee structure set forth in this Quotation Estimate. This document, once countersigned, shall form the basis of the formal Architect Services Contract to be executed within thirty (30) days.
