1. Purpose and Scope of This Quotation Estimate

This Quotation Estimate is issued by Stellar Sciences Consulting Group Inc. in response to the formal request for professional Astronomer services to be delivered within the metropolitan area of Canada Toronto and its surrounding research institutions. The scope of work outlined herein encompasses a comprehensive engagement of a senior-level Astronomer to support observational campaigns, data analysis, instrument calibration, and academic advisory functions for the duration of the specified project period.

The Astronomer engaged under this Quotation Estimate will operate primarily from the client's facilities in Canada Toronto, with supplementary remote work permitted for data processing and literature review. All on-site activities will be conducted in compliance with the regulations set forth by the Province of Ontario and the City of Toronto, including but not limited to occupational health and safety standards, data privacy legislation (PIPEDA), and institutional research ethics protocols.

3. Terms and Conditions of This Quotation Estimate

Acceptance: This Quotation Estimate shall become a binding agreement upon written acceptance by the client within the validity period stated above. Acceptance may be communicated via email to [email protected] or by signed return of this document.
Payment Schedule: 30% deposit ($20,679.00) due upon acceptance of this Quotation Estimate. 40% ($27,572.00) due at the midpoint of the engagement (approximately Week 8). Final 30% ($20,679.00) due upon project completion and delivery of all deliverables.
Payment Method: All payments shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the account of Stellar Sciences Consulting Group Inc., Bank of Montreal, Toronto, Ontario, Canada. Late payments shall accrue interest at 1.5% per month.
Scope Changes: Any modification to the Astronomer's scope of work beyond the parameters defined in this Quotation Estimate will require a written change order signed by both parties. Additional hours will be billed at the applicable unit rate specified in Section 2.
Intellectual Property: All data, analyses, and publications produced by the Astronomer during the engagement shall be jointly owned by the client and Stellar Sciences Consulting Group Inc., unless otherwise agreed in a separate IP agreement. The Astronomer retains the right to cite the work in academic contexts.
Confidentiality: The Astronomer and all supporting personnel shall adhere to strict confidentiality obligations regarding proprietary data, unpublished results, and institutional information encountered during work in Canada Toronto. A Non-Disclosure Agreement (NDA) will be executed prior to commencement.
Insurance & Liability: Stellar Sciences Consulting Group Inc. maintains professional liability insurance with a minimum coverage of $5,000,000 CAD. The Astronomer shall comply with all institutional safety protocols at the client's facilities in Toronto.
Termination: Either party may terminate this engagement with 14 days' written notice. In the event of early termination, the client shall be invoiced for all services rendered up to the termination date, plus any non-recoverable expenses.
Governing Law: This Quotation Estimate and any resulting agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved through arbitration in Toronto, Ontario, Canada.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to severe weather affecting astronomical observations, government-mandated closures, or natural disasters affecting the Canada Toronto region.

4. Deliverables and Timeline

The Astronomer engaged under this Quotation Estimate shall deliver the following within the 16-week project period commencing July 1, 2025:

Complete observational campaign report with raw and reduced datasets (Week 10)
Spectroscopic analysis summary with statistical confidence intervals (Week 12)
Instrument calibration log and maintenance recommendations (Week 14)
Final comprehensive project report and presentation to the client's research board in Canada Toronto (Week 16)
Two (2) peer-reviewed manuscript drafts for submission to international astronomy journals (Week 16)

5. Acceptance and Authorization

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and pricing outlined herein for the engagement of the Astronomer in Canada Toronto.
