1. Scope of Auditor Services — China BeijingThis Quotation Estimate is issued by Beijing Capital Audit & Advisory Co., Ltd. (hereinafter referred to as the Auditor) to provide comprehensive financial audit, compliance review, and internal control assessment services to the client. All services shall be performed in accordance with the Chinese Certified Public Accountants Law, the Accounting Standards for Business Enterprises (ASBE) issued by the Ministry of Finance of the People's Republic of China, and applicable regulations of the China Securities Regulatory Commission (CSRC) where relevant. The Auditor shall conduct all fieldwork, documentation, and reporting activities within the administrative boundaries of China Beijing, with specific focus on the client's registered operations in the Chaoyang District and its affiliated subsidiaries operating across the Beijing metropolitan area.

- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, the Auditor reserves the right to revise pricing due to market fluctuations, regulatory changes in China Beijing, or resource availability.
- Payment shall be made in Chinese Yuan (CNY) via bank transfer to the Auditor's designated account at Industrial and Commercial Bank of China (ICBC), Beijing Chaoyang Branch. A 40% advance payment is due upon execution of the engagement letter; the remaining 60% shall be settled within fifteen (15) business days of final audit report delivery.
- The Auditor shall maintain strict confidentiality of all financial records, proprietary data, and business information of the client in accordance with the Personal Information Protection Law (PIPL) of the People's Republic of China and the Data Security Law effective since 2021.
- All audit procedures shall be conducted in compliance with the China Institute of Certified Public Accountants (CICPA) Standards on Auditing. The Auditor shall issue the final audit opinion in both Simplified Chinese and English to facilitate the client's international reporting obligations.
- Any additional services beyond the scope defined in this Quotation Estimate shall be subject to a separate written amendment and supplementary quotation approved by both parties.
- The Auditor shall complete all fieldwork within the fiscal year ending 31 December 2025, with the final audit report to be delivered no later than 31 March 2026, in alignment with the statutory filing deadlines of the Beijing Municipal Administration for Industry and Commerce.
- Disputes arising from this Quotation Estimate shall be resolved through arbitration at the Beijing Arbitration Commission (BAC) in accordance with its then-current rules. The governing law shall be the laws of the People's Republic of China.
- The Auditor shall carry professional indemnity insurance with a minimum coverage of CNY 10,000,000, valid throughout the engagement period in China Beijing.
By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, scope, and pricing outlined herein. The Auditor confirms that all services will be rendered by qualified, licensed professionals registered with the CICPA and operating under the regulatory oversight of the Beijing Municipal Finance Bureau.
