This Quotation Estimate is issued by Guangzhou Pacific Audit & Advisory Firm Co., Ltd. (hereinafter referred to as the "Auditor") to provide comprehensive statutory and internal audit services for the fiscal year 2024–2025. The Auditor shall conduct a full-scope financial audit in accordance with the Chinese Certified Public Accountants (CPA) Standards, the Accounting Law of the People's Republic of China, and the relevant regulations issued by the Ministry of Finance of the PRC. All audit procedures will be performed at the client's premises located in China Guangzhou, with supplementary fieldwork at the client's secondary warehouse in Baiyun District as required.

The Auditor's engagement encompasses the following key deliverables: verification of the annual financial statements, assessment of internal control effectiveness, compliance review under the Enterprise Income Tax Law, inventory physical count supervision, and issuance of the formal audit opinion report in both Chinese and English for submission to the Guangzhou Municipal Tax Bureau and the State Administration for Market Regulation.

The Auditor shall assign a dedicated engagement team consisting of one Senior Partner (CPA, 18 years of experience in manufacturing sector audits in China Guangzhou), two Senior Auditors, three Associate Auditors, and one Tax Specialist. All team members hold valid Chinese CPA certifications and are registered with the Guangdong Provincial Institute of Certified Public Accountants. The Auditor guarantees that no conflicts of interest exist with the client or its subsidiaries.

This Quotation Estimate is valid for thirty (30) calendar days from the date of issuance. Beyond this period, the Auditor reserves the right to revise fees based on prevailing market rates in China Guangzhou.
Payment shall be made in three installments: 40% upon contract execution, 40% upon completion of fieldwork, and 20% upon delivery of the final audit report. All payments are to be made via bank transfer to the Auditor's designated account at China Merchants Bank, Guangzhou Branch.
The Auditor shall complete all on-site procedures within the stated duration. Any extension caused by the client's failure to provide documents or access to records in a timely manner shall be billed at ¥ 3,500 per additional working day.
Confidentiality: The Auditor shall maintain strict confidentiality of all financial data, trade secrets, and proprietary information obtained during the engagement, in compliance with the Personal Information Protection Law of the PRC and the Anti-Unfair Competition Law.
Liability: The Auditor's total liability under this engagement shall not exceed the total fee stated in this Quotation Estimate. The Auditor shall maintain professional indemnity insurance with a coverage of no less than ¥ 10,000,000.
Governing Law: This Quotation Estimate and the resulting engagement contract shall be governed by the laws of the People's Republic of China. Any disputes shall be resolved through arbitration at the Guangzhou Arbitration Commission in China Guangzhou.
The Auditor is not responsible for tax penalties arising from pre-existing non-compliance that was not disclosed to the Auditor prior to the commencement of fieldwork.

Note: This Quotation Estimate does not constitute a binding contract until both parties have executed the formal Audit Engagement Letter. All fees are quoted in Chinese Yuan (CNY) and are inclusive of standard travel within the Guangzhou municipal area. Inter-city travel to other provinces, if required, will be billed at actual cost with prior written approval from the client.
