This Quotation Estimate is issued by Deloitte Audit & Advisory France S.A. to provide Ateliers Rhône Industries S.A.S. with a comprehensive and transparent breakdown of the professional fees associated with the engagement of a certified Auditor for the fiscal year 2024–2025. The scope of this engagement is strictly limited to the operations, subsidiaries, and financial reporting entities of the client located within France Lyon and its immediate metropolitan region. This document serves as a formal cost projection and does not constitute a binding contract until countersigned by both parties.
The appointed Auditor will perform the following services in accordance with the French Commercial Code (Code de commerce), the regulations of the Compagnie Régionale des Commissaires aux Comptes de Lyon, and applicable European Union directives on statutory audit:
- Statutory audit of the consolidated and individual financial statements for the fiscal year ending 31 December 2025.
- Review of internal control frameworks and risk management procedures across all Lyon-based operational sites.
- Verification of compliance with French tax obligations (TVA, IS, CFE) as administered by the Direction Régionale des Finances Publiques d'Auvergne-Rhône-Alpes, Lyon sector.
- Assessment of related-party transactions and intercompany eliminations involving entities registered in the Rhône department.
- Preparation of the Auditor's report (Rapport du Commissaire aux Comptes) for submission to the General Assembly of shareholders.

This Quotation Estimate is based on the following assumptions: the Auditor will have unrestricted access to all books, records, and personnel at the client's premises in France Lyon; the fiscal year will not be extended beyond 31 December 2025; and no material restatement of prior-year figures will be required. Should the scope expand to include subsidiaries outside the Lyon metropolitan area (e.g., in Villeurbanne, Saint-Étienne, or beyond the Auvergne-Rhône-Alpes region), a supplementary quotation will be issued. This estimate excludes legal fees, tax advisory beyond the audit scope, and any forensic investigation services.
Payment shall be made in three installments: 30% upon signing of the engagement letter, 40% upon completion of fieldwork (expected by 28 February 2026), and the remaining 30% upon delivery of the final Auditor's report. All invoices are payable within 30 days of issue in accordance with French commercial law (Article L441-10 du Code de commerce). Late payments shall accrue interest at the statutory rate. Payment shall be made by bank transfer to the account of Deloitte Audit & Advisory France S.A., BIC: DEFRFRPP, IBAN: FR76 3000 4000 0000 0000 0000 000.
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After this period, rates and availability of the assigned Auditor may be subject to revision.
- The engagement of the Auditor is governed by the professional rules of the Ordre des Experts-Comptables and the ethical standards of the Compagnie des Commissaires aux Comptes de Lyon.
- Confidentiality: All information obtained during the audit engagement in France Lyon shall be treated as strictly confidential and shall not be disclosed to any third party without written consent, in compliance with the GDPR (Règlement Général sur la Protection des Données) and French data protection law (Loi Informatique et Libertés).
- Liability: The Auditor's liability is limited to the amount of professional indemnity insurance held, currently € 5,000,000 per claim, in accordance with the requirements of the Autorité des Normes Comptables (ANC).
- Disputes arising from this Quotation Estimate or the subsequent engagement shall be resolved by the commercial courts of Lyon (Tribunal de Commerce de Lyon), France.
- This document is issued in two (2) original copies, one for each party, both bearing equal legal value.
By signing below, both parties acknowledge that this Quotation Estimate accurately reflects the agreed scope, fees, and terms for the Auditor engagement in France Lyon. This signature converts the estimate into a binding engagement letter effective from the date of the last signature.
