This Quotation Estimate is issued by Meridian Audit & Compliance Group, LLC in response to the formal request from Gulf Coast Energy Partners, Inc. for the engagement of a licensed Auditor to perform a comprehensive annual financial audit of the company's operations headquartered in United States Houston. The Auditor will conduct the engagement in strict accordance with Generally Accepted Auditing Standards (GAAS) as established by the American Institute of Certified Public Accountants (AICPA) and in compliance with all applicable Texas State Board of Public Accountancy regulations governing audit engagements within the State of Texas.

The Auditor's scope of work for this engagement, conducted in and around the United States Houston metropolitan area, shall include but not be limited to the following professional services:

  • Planning and risk assessment of the financial statements for the fiscal year ending December 31, 2025, covering all operating entities located in United States Houston and its surrounding counties (Harris, Fort Bend, Montgomery, and Brazoria).
  • Testing of internal controls over financial reporting, including segregation of duties, authorization protocols, and reconciliation procedures across all Houston-based departments.
  • Substantive testing of material balances, including cash and cash equivalents, accounts receivable, inventory held in Houston distribution centers, property and equipment, long-term debt, and equity accounts.
  • Verification of revenue recognition practices in compliance with ASC 606, with particular attention to long-term energy contracts executed from the United States Houston office.
  • Review of related-party transactions and disclosure adequacy in accordance with SEC reporting requirements applicable to publicly traded entities operating in the United States.
  • Preparation and issuance of the independent Auditor's report, including the opinion on the fairness of presentation of the financial statements in conformity with U.S. GAAP.
  • Management letter identifying material weaknesses, significant deficiencies, and recommendations for improvement in internal controls specific to the United States Houston operations.

Note: This Quotation Estimate is based on the Auditor's preliminary assessment of the complexity of Gulf Coast Energy Partners' operations in United States Houston. Should the scope expand beyond the parameters described herein, the Auditor will issue a supplemental Quotation Estimate prior to performing any additional work. All rates are subject to annual adjustment effective January 1 of each calendar year.
  1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issuance. Upon expiration, the Auditor reserves the right to revise all fees and terms without prior notice.
  2. Payment terms: Fifty percent (50%) of the total estimated fee shall be due upon execution of the engagement letter. The remaining fifty percent (50%) shall be due within fifteen (15) business days of the Auditor's issuance of the final audit report.
  3. All services shall be performed by the Auditor and qualified staff members of Meridian Audit & Compliance Group, LLC, operating primarily from their offices in United States Houston, Texas. The Auditor shall maintain professional independence in accordance with AICPA Code of Professional Conduct.
  4. The Auditor shall not be liable for any consequential, incidental, or punitive damages arising from the performance of audit services. The Auditor's total liability under this engagement shall not exceed the total fees paid by the Client.
  5. This engagement is governed by the laws of the State of Texas, United States. Any disputes arising from this Quotation Estimate or the resulting engagement shall be resolved through binding arbitration in Houston, Texas, in accordance with the rules of the American Arbitration Association.
  6. The Client agrees to provide the Auditor with timely and complete access to all books, records, personnel, and physical assets located in United States Houston and its surrounding operational sites necessary for the completion of the audit.
  7. All work product, including the Auditor's report, management letter, and supporting documentation, shall remain the property of the Client upon full payment of all fees. The Auditor retains the right to retain working papers for a minimum of seven (7) years in compliance with PCAOB and AICPA retention requirements.

By signing below, the Client acknowledges receipt of this Quotation Estimate and authorizes the Auditor to commence the engagement as described herein. This signature constitutes a binding agreement to the terms, conditions, and fees outlined in this document.
