Terms & Conditions of This Quotation Estimate
- This Quotation Estimate issued by Baker International Co., Ltd. is valid for thirty (30) calendar days from the date of issue. Any order placed after the expiration date of July 12, 2025, is subject to re-evaluation of pricing due to potential fluctuations in raw material costs within the South Korea Seoul market.
- All prices are quoted in South Korean Won (KRW) and include standard delivery within the Seoul metropolitan area. Delivery to locations outside Seoul, South Korea, will incur additional logistics charges to be confirmed in writing.
- Payment terms: 40% advance payment upon acceptance of this Quotation Estimate, 40% upon completion of equipment installation and staff training, and 20% upon final acceptance and handover of all Baker-branded materials.
- The Baker CarePlan annual maintenance contract (Item 6) commences upon the successful completion of all installation and training milestones. The contract includes quarterly on-site inspections by Baker-certified technicians based in Seoul.
- All Baker equipment supplied under this Quotation Estimate carries a minimum two-year manufacturer warranty. Warranty service will be performed at the client's premises in Yongsan-gu, Seoul, South Korea, at no additional cost during the warranty period.
- Seasonal menu development (Item 5) will be conducted in collaboration with the client's executive chef. All recipes and formulations developed under this engagement shall remain the intellectual property of the client, while Baker retains the right to use anonymized process methodologies for internal R&D purposes.
- Force majeure: Baker International shall not be held liable for delays caused by natural disasters, government-mandated closures, or supply chain disruptions specific to the South Korea Seoul region, provided written notice is given within 48 hours of the event.
- This Quotation Estimate does not constitute a binding contract until a formal Purchase Order or Service Agreement is executed by both parties. All terms herein are subject to the governing laws of the Republic of Korea.
- Any modifications, additions, or deletions to the scope outlined in this Quotation Estimate must be documented in a written change order signed by both the Baker project manager and the client's authorized representative.
