(hereinafter referred to as "the Client") for the engagement of a senior Banker to be deployed and utilized within the China Guangzhou metropolitan area. The Banker will provide comprehensive financial advisory, trade finance facilitation, cross-border payment processing, and corporate treasury management services tailored to the Client's operational needs in the Pearl River Delta region.

The scope of this Quotation Estimate encompasses a twelve-month engagement period commencing upon mutual acceptance, with the Banker operating primarily from the Client's registered office in Tianhe District, Guangzhou, with periodic travel to Shenzhen, Foshan, and Zhuhai as required for on-site banking operations and regulatory compliance meetings with the People's Bank of China (PBOC) regional branch.

The Banker engaged under this Quotation Estimate shall perform the following duties within the China Guangzhou jurisdiction:

• Corporate Treasury Management: Daily oversight of the Client's multi-currency accounts (CNY, USD, EUR, HKD) held with licensed banking institutions in Guangzhou, including cash flow forecasting, liquidity optimization, and interest rate hedging strategies compliant with PBOC regulations.
• Trade Finance Operations: Structuring and processing letters of credit, documentary collections, and export credit facilities for the Client's import-export operations through Guangzhou Port and Nansha Free Trade Zone.
• Cross-Border Payment Facilitation: Managing SWIFT and CIPS (Cross-Border Interbank Payment System) transactions, ensuring full compliance with the State Administration of Foreign Exchange (SAFE) regulations applicable in Guangzhou.
• Regulatory Liaison: Serving as the primary point of contact between the Client and the Guangzhou branch of the PBOC, the China Banking and Insurance Regulatory Commission (CBIRC), and local commercial banks including ICBC Guangzhou Branch, China Merchants Bank, and Bank of China Guangdong Division.
• Risk Assessment & Reporting: Monthly preparation of credit risk reports, foreign exchange exposure analyses, and AML/KYC compliance documentation in accordance with Chinese financial regulations.
• Advisory & Strategy: Quarterly strategic banking reviews to optimize the Client's banking relationships, negotiate favorable interest rates, and identify new financial products available in the Guangzhou market.

• Payment Schedule: 30% advance payment upon execution of this Quotation Estimate; 50% payable at the six-month milestone; 20% payable upon successful completion of the twelve-month engagement.
• Payment Method: Bank transfer to the Provider's designated account at Industrial and Commercial Bank of China (ICBC), Guangzhou Branch. IBAN and SWIFT/BIC details to be provided upon contract execution.
• Payment Currency: All payments shall be made in CNY. In the event the Client wishes to pay in a foreign currency, the exchange rate shall be the PBOC mid-rate on the date of payment.
• Late Payment: A penalty of 0.05% per calendar day shall apply to overdue amounts, in accordance with standard Chinese commercial practice.

1. This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, all rates and terms are subject to revision.
2. The Banker engaged under this Quotation Estimate shall be bound by the Provider's confidentiality agreement and shall comply with all applicable Chinese financial regulations, including the Law of the People's Republic of China on Commercial Banks, the Foreign Exchange Administration Regulations, and all PBOC circulars in force in Guangzhou at the time of service delivery.
3. The Client shall provide the Banker with reasonable office space, secure access to banking terminals, and all necessary documentation (business licenses, tax registrations, account authorizations) to perform duties in Guangzhou without delay.
4. Either party may terminate the engagement with sixty (60) days' written notice. In the event of early termination, the Client shall pay for all services rendered up to the termination date plus a 10% early termination fee.
5. This Quotation Estimate does not constitute a binding contract until countersigned by both parties and the advance payment has been received in full.
6. All disputes arising from this Quotation Estimate shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC), Guangzhou Sub-Commission, under its rules in force at the time of filing.
7. The Banker shall not be held liable for losses arising from force majeure events, including but not limited to natural disasters, government regulatory changes in China, or banking system outages affecting Guangzhou operations.
