2. Scope of Banker Services — Indonesia Jakarta
This Quotation Estimate is issued by Meridian Financial Advisory Group in response to the formal request from PT Nusantara Digital Holdings for the engagement of a dedicated Banker professional to be deployed and operational within the Indonesia Jakarta metropolitan area. The Banker engagement encompasses a comprehensive suite of corporate banking advisory, treasury management, and financial structuring services tailored to the regulatory and operational environment of Jakarta, Indonesia.
The appointed Banker will serve as the primary liaison between the client and all relevant financial institutions operating in Indonesia Jakarta, including but not limited to Bank Mandiri, Bank Central Asia (BCA), Bank Rakyat Indonesia (BRI), and international correspondent banks. The Banker will operate from the client's designated office in the SCBD district of Jakarta and will be available on a full-time basis for the duration of the contract.

4. Terms and Conditions of This Quotation Estimate
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, all rates and terms are subject to revision based on prevailing market conditions in Indonesia Jakarta.
- The Banker professional engaged under this Quotation Estimate shall be a licensed and experienced banking professional with a minimum of ten (10) years of corporate banking experience in the Indonesian financial sector, holding valid OJK professional certification.
- All services described in this Quotation Estimate shall be performed in accordance with the regulations of Otoritas Jasa Keuangan (OJK), Bank Indonesia (BI), and applicable Indonesian financial laws and regulations governing banking operations in Jakarta.
- Payment terms: 40% advance payment upon contract execution, 40% upon completion of the sixth (6th) month, and 20% upon successful completion of the twelfth (12th) month of the Banker engagement.
- The Banker shall maintain strict confidentiality of all financial data, client information, and proprietary strategies in accordance with Indonesia's Personal Data Protection Law (UU PDP No. 27/2022).
- Any additional services beyond the scope defined in this Quotation Estimate shall be subject to a separate written amendment and supplementary Quotation Estimate.
- This Quotation Estimate does not constitute a binding contract until both parties have executed the definitive Service Agreement. The Banker engagement in Indonesia Jakarta shall commence only upon mutual written confirmation.
- Force majeure events, including but not limited to natural disasters, government-mandated closures, or systemic banking disruptions in Indonesia Jakarta, shall suspend obligations without penalty to either party.
- All disputes arising from this Quotation Estimate or the subsequent Banker engagement shall be resolved through arbitration under the rules of the Indonesian National Board of Arbitration (BANI) in Jakarta.
- The Banker shall be provided with a dedicated workspace, access to all relevant financial systems, and reasonable administrative support at the client's Jakarta office to ensure uninterrupted service delivery.
5. Acceptance and Authorization
By signing below, the client acknowledges receipt of this Quotation Estimate for Banker services in Indonesia Jakarta and agrees to the terms, conditions, and pricing outlined herein. This acceptance does not constitute a final contract but serves as a formal expression of intent to proceed with the Banker engagement.
