This Quotation Estimate is issued by Levantine Capital Advisory Group Ltd. to Meridian Holdings (Israel) Ltd. in relation to the engagement of a senior Banker to provide comprehensive corporate banking advisory, treasury management, and financial structuring services within the jurisdiction of Israel Tel Aviv. This document constitutes a formal Quotation Estimate outlining the full scope of professional services, associated fees, payment schedules, and contractual terms governing the Banker’s engagement. All services described herein shall be delivered in accordance with the regulations of the Bank of Israel, the Capital Markets Authority of Israel, and applicable Israeli financial legislation.

The engaged Banker shall provide the following professional services to the Client in Israel Tel Aviv:

All fees are quoted in Israeli New Shekels (ILS). The Quotation Estimate does not include third-party bank charges, notary fees, court filing fees, or any governmental levies imposed by the State of Israel unless explicitly stated otherwise.

Payment for the services outlined in this Quotation Estimate shall be made as follows:

Advance Payment: 25% of the total Quotation Estimate amount (ILS 376,125) due within ten (10) business days of the Client’s written acceptance of this Quotation Estimate.
Monthly Installments: The remaining 75% shall be invoiced and paid in twelve (12) equal monthly installments of ILS 94,031.25, due on the first business day of each calendar month.
Trade Finance Fees (Item 2.3): Billed per transaction upon execution, with payment due within fifteen (15) business days of invoice issuance.
Payment Method: All payments shall be made via bank transfer to the firm’s account at Bank Hapoalim, Tel Aviv Branch, Account No. 001-123456-7, SWIFT: POBAILTT.

This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Upon expiry, all fees and terms are subject to revision without prior notice.
The Banker’s engagement is governed by the laws of the State of Israel. Any disputes arising from this Quotation Estimate or the subsequent service agreement shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
The Banker shall maintain professional indemnity insurance with a minimum coverage of ILS 5,000,000, compliant with the requirements of the Israeli Institute of Bankers and the Bank of Israel.
Confidentiality: All financial data, transaction records, and proprietary information of the Client shall be treated as strictly confidential in accordance with the Israeli Privacy Protection Law, 5741-1981, and the Bank of Israel’s data protection directives.
The Banker shall not be held liable for losses arising from decisions made by the Client’s board of directors or senior management that override the Banker’s professional recommendations.
This Quotation Estimate does not constitute a binding contract until a formal Service Agreement is executed by both parties. Acceptance of this Quotation Estimate shall be communicated in writing via email or signed letter.
Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to acts of war, terrorism, government sanctions, or systemic banking failures in Israel.

By signing below, the Client acknowledges receipt of this Quotation Estimate and agrees to the terms, fees, and conditions set forth herein for the engagement of the Banker in Israel Tel Aviv.
