This Quotation Estimate is issued by Meridian Capital Bank Berhad to formally outline the scope, deliverables, and associated costs for the engagement of a dedicated Banker to provide comprehensive corporate banking, treasury management, and financial advisory services to Nusantara Logistics Sdn. Bhd. The services described herein are specifically tailored for operations conducted within Malaysia Kuala Lumpur, taking into account the regulatory framework of Bank Negara Malaysia, the local commercial banking landscape, and the unique financial needs of enterprises operating in the Klang Valley region. This Quotation Estimate serves as a binding proposal subject to the terms and conditions stated in Section 6 of this document.

The appointed Banker shall serve as the primary point of contact and relationship manager for the client throughout the engagement period. The scope of services includes, but is not limited to, the following banking and financial functions delivered within the Malaysia Kuala Lumpur operational jurisdiction:

This Quotation Estimate assumes that the client’s primary operational base is located in Malaysia Kuala Lumpur and that all banking transactions will be processed through the institution’s Klang Valley branch network. The following items are excluded from the above cost estimate: statutory audit fees, external legal counsel costs, government filing fees imposed by Bank Negara Malaysia or the Securities Commission Malaysia, and any extraordinary transaction volumes exceeding 200% of the projected baseline. Should the client require services beyond the Malaysia Kuala Lumpur metropolitan area, a supplementary Quotation Estimate will be issued at no additional charge.

All fees outlined in this Quotation Estimate are payable in Malaysian Ringgit (MYR) via bank transfer to the institution’s designated account. Monthly recurring fees are invoiced on the first business day of each calendar month and are due within fourteen (14) calendar days of the invoice date. The one-time setup fee is payable upon execution of the master service agreement. Late payments shall attract a penalty interest of 5% per annum, calculated on a daily basis, in accordance with the Civil Law Act 1956 applicable in Malaysia Kuala Lumpur.

The Banker assigned to this engagement shall be a licensed professional banker registered with the Malaysian Banking Association and shall possess a minimum of fifteen (15) years of experience in corporate and institutional banking. The Banker shall report directly to the client’s CFO and shall maintain strict confidentiality in accordance with the Banking and Financial Institutions Act 2013 (BFA) and the Personal Data Protection Act 2010 (PDPA) of Malaysia. The client reserves the right to request a change of Banker with thirty (30) days’ written notice, and the institution shall ensure a seamless transition of all banking relationships and documentation.

This Quotation Estimate is valid for thirty (30) days from the date of issue. Upon expiry, all rates and terms are subject to revision without prior notice.
Acceptance of this Quotation Estimate shall be confirmed in writing by the client’s authorized signatory and shall constitute a binding service agreement between both parties.
The engagement period is twelve (12) months from the date of acceptance, renewable upon mutual written consent of both parties.
Either party may terminate the engagement with sixty (60) days’ written notice. In the event of early termination by the client, a pro-rata fee for the remaining period shall be payable.
All disputes arising from this Quotation Estimate and the subsequent service agreement shall be governed by the laws of Malaysia and shall be subject to the exclusive jurisdiction of the courts in Malaysia Kuala Lumpur.
The institution shall maintain professional indemnity insurance with a minimum coverage of RM 10,000,000 for the duration of the engagement.
All data and financial information exchanged between the Banker and the client shall be stored on servers physically located within Malaysia Kuala Lumpur to comply with local data sovereignty requirements.
