This Quotation Estimate is formally issued by the undersigned Banker, Carlos A. Mendoza, in his capacity as Senior Financial Consultant and Licensed Banker operating under the regulatory framework of the Comisión Nacional Bancaria y de Valores (CNBV) of Mexico. The purpose of this document is to provide a comprehensive, itemized cost projection for the professional banking and financial advisory services to be rendered to Constructora del Norte, S.A. de C.V., with all operations conducted within the jurisdiction of Mexico, Mexico City.

The Banker engaged under this Quotation Estimate shall provide end-to-end financial structuring, treasury management, credit facilitation, and regulatory compliance advisory services tailored to the operational needs of a mid-size construction enterprise operating in the Mexico City metropolitan region. All services are subject to the financial regulations established by the Banco de México (Banxico) and the applicable tax provisions of the Servicio de Administración Tributaria (SAT) within Mexico.

Note: All amounts in Mexican Pesos (MXN) are subject to the prevailing exchange rate set by Banco de México on the date of invoice issuance. The USD equivalents are provided for reference only. Applicable Value Added Tax (IVA) of 16% as mandated by the SAT in Mexico, Mexico City, will be added to the subtotal upon final invoicing.
  1. This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, the Banker reserves the right to revise all pricing due to market fluctuations, regulatory changes in Mexico, or shifts in the MXN/USD exchange rate.
  2. All services described herein shall be performed by the named Banker or by qualified associates under his direct supervision, all operating within the legal and regulatory boundaries of Mexico, specifically the Mexico City metropolitan area.
  3. Payment terms: 50% of the total Quotation Estimate amount shall be due upon execution of the service agreement; the remaining 50% shall be invoiced in equal monthly installments over the twelve-month engagement period. Late payments shall accrue interest at the rate established by Banxico for the applicable period.
  4. The Banker shall maintain full professional liability insurance (póliza de responsabilidad profesional) with a minimum coverage of MXN 5,000,000, registered with the CNBV, for the duration of the engagement in Mexico City.
  5. All financial data, client records, and proprietary information shared during the course of this engagement shall be treated under strict confidentiality in accordance with the Ley Federal de Protección de Datos Personales en Posesión de los Particulares of Mexico.
  6. This Quotation Estimate does not constitute a binding contract. A formal Service Agreement must be executed by both parties prior to the commencement of any services. The terms of this Quotation Estimate shall be incorporated into the final Service Agreement unless otherwise negotiated in writing.
  7. Any modifications, additions, or cancellations to the scope of services outlined in this Quotation Estimate must be documented in a written addendum signed by both the Banker and the client representative, with all such amendments governed by the commercial laws of the State of Mexico City, Mexico.
  8. Force majeure events, including but not limited to natural disasters affecting Mexico City, government-mandated closures, or systemic banking disruptions in Mexico, shall suspend service obligations without penalty to either party.
  9. Disputes arising from this Quotation Estimate or the subsequent Service Agreement shall be resolved through binding arbitration in Mexico City, Mexico, in accordance with the rules of the Centro de Arbitraje y Conciliación (CEAC) of the Cámara de Comercio de la Ciudad de México.

By signing below, both parties acknowledge that they have read, understood, and agree to the terms set forth in this Quotation Estimate for professional Banker services to be delivered in Mexico, Mexico City. This document serves as the foundational cost projection and scope definition for the engagement.
