Nile Valley Trading & Investments Ltd. for the engagement of a qualified Banker to provide comprehensive financial advisory, treasury management, and corporate banking consultancy services within the city of Uganda Kampala. This document sets out the detailed scope of work, itemized professional fees, applicable taxes, and the terms governing the proposed engagement. All figures presented in this Quotation Estimate are exclusive of any additional costs that may arise from scope changes requested by the client after the initial agreement is executed.

The Banker engaged under this Quotation Estimate shall provide the following professional services to the client, all to be delivered primarily at the client's offices located in Kampala, Uganda, and at such other locations within Uganda Kampala as mutually agreed:

• Corporate Banking Advisory: Structuring and negotiating corporate banking relationships with licensed commercial banks operating in Uganda Kampala, including but not limited to Stanbic Bank, Centenary Bank, Equity Bank Uganda, and Bank of Uganda-regulated institutions.
• Treasury and Cash Management: Designing and implementing cash flow optimization strategies, multi-currency account structures, and intercompany fund transfer protocols tailored to the client's operations in Uganda Kampala.
• Trade Finance Structuring: Advising on letters of credit, bank guarantees, documentary collections, and export credit facilities in compliance with the Bank of Uganda's foreign exchange regulations and the Uganda Foreign Exchange Code.
• Loan and Credit Facility Sourcing: Identifying, negotiating, and facilitating access to term loans, working capital facilities, and project finance instruments from banking institutions in Uganda Kampala.
• Regulatory Compliance Review: Conducting quarterly reviews of the client's banking compliance posture in alignment with the Bank of Uganda's prudential guidelines, the Uganda Securities Exchange requirements, and the Uganda Revenue Authority's tax obligations.
• Financial Reporting and Analysis: Preparing monthly and quarterly financial performance reports, variance analyses, and forward-looking cash flow projections for the client's board of directors.
• On-Site Consultation: A minimum of four (4) on-site consultation sessions per month at the client's premises in Kampala, Uganda, with the assigned Banker or a designated senior associate.

1. This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, all fees and rates are subject to revision based on prevailing market conditions in Uganda Kampala.
2. Payment terms: Fifty percent (50%) of the total Quotation Estimate value shall be payable upon execution of the service agreement. The remaining fifty percent (50%) shall be payable in equal monthly installments over the twelve (12) month engagement period.
3. All payments shall be made in Uganda Shillings (UGX) via bank transfer to the account of East African Financial Advisory Group Ltd. at Stanbic Bank, Kampala Branch, Uganda Kampala. Account No. 0045-6789-0123-4567.
4. The Banker engaged under this Quotation Estimate shall maintain full professional confidentiality regarding all financial data, trade documentation, and proprietary information of the client, in accordance with the Uganda Data Protection and Privacy Act, 2019.
5. Any additional services beyond the scope defined in Section 2 of this Quotation Estimate shall be subject to a separate written amendment and additional fees to be agreed upon in advance.
6. This Quotation Estimate does not constitute a binding contract until both parties have executed the formal Service Agreement. The terms herein are indicative and subject to final negotiation.
7. Disputes arising from this Quotation Estimate or the subsequent engagement shall be resolved through arbitration in Kampala, Uganda, in accordance with the Arbitration Act of Uganda.
8. The Banker shall be available for emergency consultations during business hours (Monday to Friday, 8:00 AM to 5:00 PM, Uganda time) at no additional charge, up to two (2) hours per month.

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and fee structure outlined herein for the engagement of the Banker in Uganda Kampala.
