This Quotation Estimate is issued by Meridian Corporate Banking Solutions LLC to provide comprehensive professional Banker services to Al Noor Trading & Investment FZE, operating within the jurisdiction of United Arab Emirates Dubai. The engagement of a dedicated Banker professional shall encompass the following scope of duties and deliverables:

• Full-time dedicated Banker assignment for a period of twelve (12) months, providing on-site presence at the client's Dubai office during standard business hours (Sunday to Thursday, 8:00 AM to 5:30 PM).
• Management of corporate banking relationships with licensed banks operating in the United Arab Emirates Dubai financial sector, including Emirates NBD, First Abu Dhabi Bank, and DIFC-regulated institutions.
• Preparation and submission of all required banking documentation, trade finance instruments, letters of credit, and bank guarantees in compliance with UAE Central Bank regulations and Dubai Financial Services Authority (DFSA) guidelines.
• Overseeing daily cash flow management, treasury operations, foreign exchange transactions, and multi-currency account reconciliations for the client's operations in Dubai and across the wider United Arab Emirates.
• Coordination with the client's internal finance and accounting teams to ensure seamless integration of banking activities with corporate financial reporting under IFRS standards as adopted in the United Arab Emirates.
• Advisory services on banking product selection, interest rate optimization, and regulatory compliance specific to the Dubai financial market and UAE federal banking laws.
• Monthly reporting to the client's board of directors, including a detailed summary of all banking transactions, outstanding commitments, and risk assessments.

All amounts stated in this Quotation Estimate are denominated in UAE Dirhams (AED) and are subject to the 5% Value Added Tax (VAT) as mandated by the Federal Tax Authority of the United Arab Emirates. Payment shall be structured as follows:

• Advance Payment: 25% of the Grand Total (AED 121,012.50) due within seven (7) business days of acceptance of this Quotation Estimate, to be remitted via bank transfer to the provider's DIFC-regulated account in Dubai.
• Monthly Installments: The remaining 75% shall be paid in twelve (12) equal monthly installments of AED 34,003.13, due on the first business day of each calendar month.
• One-Time Charges: Items 02, 03, 04, and 07 shall be invoiced separately upon completion of the respective service milestone.
• Payments made more than fourteen (14) days past the due date shall attract a late payment interest of 2% per month, in accordance with UAE commercial law.

• This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Upon expiry, all rates and terms are subject to revision without prior notice.
• The assigned Banker shall be bound by a strict confidentiality and non-disclosure agreement (NDA) in compliance with UAE Federal Decree-Law No. 31 of 2021 on the Protection of Personal Data.
• The Banker shall comply with all anti-money laundering (AML) and counter-terrorist financing (CTF) regulations enforced by the UAE Central Bank and the Dubai Financial Services Authority.
• Either party may terminate the engagement with thirty (30) days' written notice. In the event of early termination, a pro-rata charge for the remaining period shall apply, subject to a minimum of three (3) months' fees.
• All disputes arising from this Quotation Estimate and the subsequent service agreement shall be resolved through arbitration in Dubai under the rules of the Dubai International Financial Centre-LCIA Arbitration Centre (DIFC-LCIAAC).
• This Quotation Estimate does not constitute a binding contract until formally accepted in writing by both parties and a definitive Service Agreement is executed.

By signing below, the Client acknowledges receipt of this Quotation Estimate for Banker services in United Arab Emirates Dubai and agrees to the terms, conditions, and pricing outlined herein. The Provider confirms its commitment to deliver the specified Banker services in full compliance with all applicable UAE and Dubai regulations.
