1. Purpose of This Quotation Estimate

This Quotation Estimate is issued by Ashworth & Partners Banking Group Ltd. (hereinafter referred to as "the Banker") to Whitmore Industrial Holdings Ltd. (hereinafter referred to as "the Client") in relation to the provision of comprehensive professional banking, treasury management, and financial advisory services to be delivered within the United Kingdom Birmingham metropolitan area and the wider West Midlands region. This document sets out in full the scope of services, the associated fees, payment terms, and all conditions governing the engagement of the Banker for the duration of the stated period. All figures quoted are exclusive of Value Added Tax (VAT) at the prevailing rate of 20% unless otherwise indicated.

2. Scope of Banker Services

The Banker shall provide the following professional services to the Client, all to be conducted in accordance with the regulatory standards set by the Financial Conduct Authority (FCA) and the Prudential Regulation Authority (PRA) within the United Kingdom:

4. Payment Terms & Conditions

4.1 All fees shall be invoiced on the first business day of each calendar month for the preceding month's services. Payment is due within thirty (30) calendar days of the invoice date via BACS transfer to the Banker's designated account at the Birmingham branch.
4.2 Late payments shall attract interest at a rate of 4% per annum above the Bank of England base rate, calculated on a daily basis from the due date until the date of actual payment, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4.3 The Client shall provide the Banker with timely access to all relevant financial records, ledgers, and operational data necessary for the delivery of the services outlined in Section 2. Failure to provide such access may result in a suspension of services and a corresponding adjustment to this Quotation Estimate.
4.4 This Quotation Estimate is valid for a period of sixty (60) days from the date of issue. Thereafter, the Banker reserves the right to revise the fees to reflect changes in market conditions, regulatory requirements, or operational costs within the United Kingdom Birmingham banking sector.
4.5 The Banker shall maintain professional indemnity insurance of no less than £5,000,000 and shall comply with all applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
4.6 Either party may terminate this engagement by providing ninety (90) days' written notice. Upon termination, all outstanding fees for services rendered up to the termination date shall remain payable in full.
4.7 This Quotation Estimate and the resulting engagement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.

5. Acceptance & Authorisation

By signing below, both parties acknowledge that they have read, understood, and agree to the terms and conditions set forth in this Quotation Estimate. The Banker confirms that all services will be delivered with the highest standard of professional competence, confidentiality, and regulatory compliance expected of a licensed banking institution operating in the United Kingdom Birmingham financial district.
