This Quotation Estimate is issued by Thames Meridian Financial Services Ltd. (hereinafter referred to as "the Provider") in respect of the engagement of a dedicated Banker to provide comprehensive corporate banking advisory, transactional support, and treasury management services to Whitfield & Associates LLP (hereinafter referred to as "the Client"). All services described herein shall be delivered in accordance with the regulatory standards set by the Financial Conduct Authority (FCA) and the Bank of England, and shall be performed within the jurisdiction of United Kingdom London, specifically at the Provider's registered office on Leadenhall Street, City of London.
The Banker assigned to this engagement shall be a Chartered Banker (C.Bank) with a minimum of fifteen years' experience in corporate and commercial banking within the United Kingdom London financial district. The scope of work encompasses daily operational banking oversight, quarterly strategic treasury reviews, annual compliance audits, and ad hoc advisory on cross-border payment structures relevant to the Client's international portfolio.

All fees set out in this Quotation Estimate shall be invoiced on a quarterly basis in advance, with the first invoice issued within five (5) working days of the Client's written acceptance of this document. Payment is due within thirty (30) calendar days of the invoice date via direct bank transfer to the Provider's designated account at Barclays Bank PLC, London. Late payments shall attract interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, as applicable within United Kingdom London and the wider jurisdiction of England and Wales.
- 4.1 This Quotation Estimate is valid for a period of ninety (90) days from the date of issue. Thereafter, all fees and service descriptions are subject to revision without prior notice.
- 4.2 The Banker engaged under this agreement shall be subject to the Provider's internal code of conduct, FCA rules, and all applicable anti-money laundering legislation, including the Proceeds of Crime Act 2002 and the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017.
- 4.3 All services shall be rendered primarily at the Provider's offices in the City of United Kingdom London. On-site visits to the Client's premises shall be scheduled no fewer than forty-eight (48) hours in advance, except in cases of emergency banking support.
- 4.4 The Client acknowledges that the Banker acts as an independent professional advisor and does not constitute a fiduciary relationship unless expressly agreed in a separate written instrument.
- 4.5 Either party may terminate this engagement by providing sixty (60) days' written notice. Upon termination, all outstanding fees for services rendered up to the termination date shall remain payable.
- 4.6 This agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
- 4.7 The Provider shall maintain professional indemnity insurance with a minimum cover of £10,000,000 per claim, and the Client may request a certificate of insurance upon written request.
- 4.8 No part of this Quotation Estimate or the resulting engagement shall be assignable by either party without the prior written consent of the other.
By signing below, the Client confirms that this Quotation Estimate has been reviewed in its entirety, that the scope of Banker services described is understood and accepted, and that the Client agrees to be bound by the terms and conditions set out herein. This acceptance shall constitute a binding contract between the parties for the initial twelve-month engagement period, commencing on the first day of the month following the date of acceptance.
