The Business Consultant engaged under this Quotation Estimate will deliver the following services over a twelve-month engagement period, all conducted primarily at the client's premises in Dhaka, Bangladesh, with periodic on-site visits to the client's manufacturing facilities in Gazipur and Narayanganj:

• Strategic Business Planning: Development of a five-year corporate strategy aligned with Bangladesh's Vision 2041 economic roadmap, including market entry analysis for the Dhaka metropolitan area and surrounding industrial zones.
• Operational Efficiency Audit: Comprehensive review of production workflows, supply chain logistics, and workforce management practices specific to the ready-made garment (RMG) sector operating in Bangladesh Dhaka.
• Financial Restructuring Advisory: Analysis of capital structure, working capital optimization, and compliance with Bangladesh Bank lending regulations and the National Board of Revenue (NBR) tax obligations.
• Market Intelligence & Competitive Analysis: Quarterly reports on the Dhaka business environment, including competitor benchmarking, consumer trend analysis, and policy impact assessments from the Bangladesh Economic Zone (BEZ) authority.
• Organizational Development: Design of leadership succession plans, performance management frameworks, and change management strategies suited to the Bangladeshi corporate culture in Dhaka.
• Regulatory & Compliance Support: Guidance on compliance with the Bangladesh Labour Act 2006, the Companies Act 2013, and all applicable local bylaws governing business operations in Dhaka.

* All amounts are quoted in Bangladeshi Taka (BDT). Exchange rate reference: 1 USD ≈ 118 BDT (as of June 2025). The Business Consultant's fees are exclusive of any third-party software licensing costs, which will be billed at actual cost with prior written approval from the client.

• Advance Payment: 30% of the total Quotation Estimate amount (BDT 1,635,300) due within seven (7) working days of contract execution.
• Quarterly Milestone Payments: 20% per quarter (BDT 1,090,200 per quarter) payable within fifteen (15) days of the end of each calendar quarter, subject to delivery of the corresponding milestone reports.
• Final Settlement: Remaining 10% (BDT 545,100) payable within thirty (30) days of the final project deliverable acceptance, no later than the end of the twelfth month.
• All payments shall be made via bank transfer to the account of Apex Strategic Advisory Ltd., Sonali Bank, Banani Branch, Dhaka, Bangladesh. Late payments shall attract interest at 1.5% per month as per standard commercial practice in Bangladesh Dhaka.

• This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, the Business Consultant's rates and availability are subject to revision.
• The scope of work is limited to the services explicitly listed in Section 2. Any additional consulting engagements, ad-hoc advisory, or emergency interventions will be subject to a separate supplementary Quotation Estimate.
• Confidentiality: The Business Consultant shall treat all client data, financial records, and strategic information as strictly confidential in accordance with the Bangladesh Information and Communication Technology Act 2006. A mutual Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of services.
• Intellectual Property: All reports, strategies, and deliverables produced by the Business Consultant under this engagement shall become the sole property of the client upon full payment.
• Termination: Either party may terminate this engagement with thirty (30) days' written notice. In the event of early termination, the client shall be liable for all services rendered up to the termination date plus a 10% cancellation fee on the remaining contract value.
• Governing Law: This Quotation Estimate and the resulting contract shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with the Arbitration Act 2001.
• The Business Consultant reserves the right to assign a qualified deputy or associate for specific tasks, provided the client's prior written consent is obtained and the quality of deliverables remains unchanged.
