1. Executive Summary

This Quotation Estimate is issued by Strategic Advisory Partners SAS to Groupe Horizon Industries for the engagement of a dedicated Business Consultant to deliver comprehensive strategic advisory services within the France Paris metropolitan area. The proposed engagement encompasses organizational restructuring, market expansion analysis, operational efficiency auditing, and digital transformation planning. All services will be delivered in accordance with French commercial law (Code de commerce) and applicable regulatory frameworks governing professional consulting engagements in the Paris region.

2. Scope of Services

3. Terms and Conditions

Validity: This Quotation Estimate remains valid for thirty (30) calendar days from the date of issue. Beyond this period, rates and availability of the designated Business Consultant may be subject to revision.
Payment Terms: Payment shall be made in monthly installments of EUR 39,540.00 (incl. TVA), due within thirty (30) days of invoice issuance. A mobilization fee of 20% of the total contract value (EUR 47,448.00 incl. TVA) is due upon signature of the engagement letter.
Bank Details: Payments shall be made via SEPA transfer to Strategic Advisory Partners SAS, BNP Paribas, IBAN: FR76 3000 4000 0100 0000 0000 000, BIC: BNPAFRPPXXX.
Confidentiality: The Business Consultant shall adhere to strict confidentiality obligations in accordance with French data protection regulations (RGPD / GDPR) and the professional secrecy provisions of the French Civil Code (Article 1101 et seq.).
Intellectual Property: All deliverables, reports, and strategic documents produced by the Business Consultant during this engagement in France Paris shall become the exclusive property of Groupe Horizon Industries upon full payment.
Termination: Either party may terminate this engagement with sixty (60) days' written notice. In the event of early termination, all services rendered up to the termination date shall be invoiced in full.
Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of France. Any disputes shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in France Paris.
Subcontracting: The Business Consultant may engage specialized sub-consultants for niche technical work, provided prior written approval is obtained from the client. All subcontractor costs are included in the rates specified in this Quotation Estimate.

4. Deliverables & Milestones

The Business Consultant shall deliver the following key outputs at defined milestones throughout the engagement period in France Paris: (a) a comprehensive Strategic Business Plan within the first eight weeks; (b) an Operational Efficiency Report with actionable recommendations by week twelve; (c) a Digital Transformation Roadmap document by week twenty; (d) a Change Management Implementation Plan by week twenty-six; and (e) a final Regulatory Compliance Certificate by week thirty. Each deliverable will be presented in both French and English to accommodate the client's international board members.

5. Acceptance & Authorization

By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Strategic Advisory Partners SAS to proceed with the engagement of the Business Consultant as described herein. This signature constitutes a binding commercial commitment under French law.
