Thank you for the opportunity to submit this Quotation Estimate for the engagement of a senior Chemical Engineer to support RheinChemie Industries AG in the planned expansion of your production facility located in Germany Frankfurt. This document outlines the full scope of professional services, associated costs, and contractual terms governing the proposed engagement. 1. Scope of Services

The Chemical Engineer engaged under this Quotation Estimate will provide the following services at the client's facility in Germany Frankfurt:

  • Comprehensive process design and scale-up analysis for the new polymerisation reactor line, including thermodynamic modelling, mass and energy balance calculations, and reaction kinetics evaluation.
  • Review and optimisation of existing distillation and separation units to improve throughput by a minimum of 15% while maintaining product purity specifications in compliance with EU REACH regulations.
  • Preparation of detailed P&ID (Piping and Instrumentation Diagram) updates and HAZOP (Hazard and Operability) study documentation for the expanded plant section in Germany Frankfurt.
  • Technical due diligence and feasibility assessment for the integration of a new catalytic hydrogenation module, including catalyst selection, reactor sizing, and safety system design.
  • Monthly progress reporting and on-site technical supervision during the commissioning phase, with a minimum of four (4) full working days per month at the Frankfurt site.
  • Coordination with local regulatory authorities in Hesse, including the Umweltbundesamt and the local Gewerbeaufsichtsamt, to ensure full compliance with German industrial safety and environmental legislation.

3. Payment Terms

Payment for the services described in this Quotation Estimate shall be made in accordance with the following schedule:

  • 30% advance payment (EUR 56,513.10) upon signed acceptance of this quotation and execution of the master service agreement.
  • 40% milestone payment (EUR 75,350.80) upon completion and client sign-off of the process design package (Items 1–4).
  • 30% final payment (EUR 56,513.10) upon successful commissioning, handover of all documentation, and final regulatory clearance in Germany Frankfurt.

All invoices are payable within thirty (30) calendar days of the invoice date via bank transfer to the account of Frankfurt Process Engineering GmbH, IBAN: DE89 3704 0044 0532 0130 00, BIC: COBADEFFXXX. Late payments shall accrue interest at the statutory rate under § 288 BGB.

4. Terms and Conditions
  1. This Quotation Estimate is valid for a period of ninety (90) days from the date of issue. Beyond this period, rates and availability of the designated Chemical Engineer are subject to reconfirmation.
  2. All work shall be performed in accordance with the German Industrial Safety Act (BetrSichV), the Federal Emissions Control Act (BImSchG), and applicable EU directives. The Chemical Engineer shall hold a valid VDI 7000 certification and be registered with the Ingenieurkammer Hessen.
  3. The client shall provide the Chemical Engineer with reasonable access to the facility in Germany Frankfurt, including all necessary process data, historical operating records, and site safety induction prior to commencement of on-site work.
  4. Intellectual property developed specifically for the client under this engagement shall vest in the client upon full payment. General methodologies, templates, and pre-existing knowledge of the Chemical Engineer remain the property of Frankfurt Process Engineering GmbH.
  5. Either party may terminate this agreement with thirty (30) days' written notice. In the event of early termination, the client shall pay for all services rendered up to the termination date plus a 10% administrative fee.
  6. This agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Hesse.
  7. Confidentiality obligations as set forth in the separate Non-Disclosure Agreement (NDA) dated 01 June 2025 shall apply to all information exchanged in connection with this Quotation Estimate and the subsequent project execution.
5. Acceptance and Authorisation

By signing below, the client acknowledges receipt of this Quotation Estimate and authorises Frankfurt Process Engineering GmbH to proceed with the engagement of the specified Chemical Engineer for the project located in Germany Frankfurt under the terms and conditions set forth herein.
