Ltd., a registered engineering firm headquartered in India Mumbai, to Shree Vardhman Petrochemicals Ltd. for the engagement of a senior Chemical Engineer to oversee process optimization, safety compliance, and operational improvement activities at the client's ethylene oxide production facility located in the Tarapur industrial corridor, within the broader India Mumbai metropolitan region. The Chemical Engineer engaged under this Quotation Estimate shall perform the following duties and responsibilities throughout the twelve-month contract period:
- Process Design & Optimization: Conduct detailed thermodynamic and kinetic analyses of the ethylene oxide reactor system, develop process flow diagrams (PFDs), and implement control strategy improvements to increase yield by a minimum of 4.5 percent.
- Safety & Hazard Analysis: Perform comprehensive HAZOP (Hazard and Operability) studies, LOPA (Layer of Protection Analysis), and SIL (Safety Integrity Level) assessments in strict compliance with the Indian Factories Act, 1948, and the Hazardous Chemicals (Safety) Rules, 1989, as enforced by the Maharashtra State Pollution Control Board in India Mumbai.
- Equipment Integrity Management: Develop and execute a rotating equipment and pressure vessel inspection schedule, coordinate with NABL-accredited laboratories in India Mumbai for non-destructive testing (NDT), and maintain a digital asset management register.
- Environmental Compliance: Ensure all effluent discharge parameters meet the standards prescribed by the Central Pollution Control Board (CPCB) and the Maharashtra State Pollution Control Board. Prepare quarterly environmental monitoring reports and assist in annual consent renewal filings.

Amount in words: Rupees Sixty-Five Lakh Thirty Thousand Four Hundred and Seventy-Four Only (INR 65,30,474/-). All rates are exclusive of GST. TDS as per Section 194J of the Income Tax Act, 1961, shall be deducted at source by the client.
- Advance Payment: 25% of the total Quotation Estimate value (INR 16,32,618) shall be received within seven (7) working days of mutual acceptance of this document.
- Monthly Professional Fee: The Chemical Engineer's monthly fee of INR 2,85,000 shall be invoiced on the 1st of each month and payable within fifteen (15) days of invoice receipt.
- One-Time Deliverables: HAZOP report, Energy Audit report, and Environmental compliance reports shall be invoiced upon client sign-off of the respective deliverables, payable within twenty (20) days.
- Final Settlement: The remaining balance, including the contingency allocation, shall be settled within thirty (30) days of the completion of the twelve-month engagement period.
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, rates may be revised to reflect market conditions in the India Mumbai engineering services sector.
- The Chemical Engineer shall be an independent contractor and not an employee of the client. The engagement is governed by a separate Service Agreement to be executed concurrently with this quotation.
- All work shall be performed in accordance with the Indian Standards (IS) codes, Bureau of Indian Standards (BIS) guidelines, and applicable regulations of the Maharashtra State Government, India Mumbai jurisdiction.
- The client shall provide a dedicated workstation, access to plant areas (with appropriate PPE), and all necessary data and documentation required for the Chemical Engineer to perform the assigned tasks.
- Intellectual property generated during the engagement, including process optimization reports and safety studies, shall vest with the client upon full payment. The Chemical Engineer retains the right to use anonymized data for academic publications.
- Either party may terminate the engagement with thirty (30) days' written notice. In the event of early termination, all completed deliverables shall be paid for in full, and no further monthly fees shall accrue.
- Disputes arising from this Quotation Estimate or the associated Service Agreement shall be resolved by arbitration in India Mumbai in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, Maharashtra, India.
- This quotation does not constitute a binding contract until both parties have executed the formal Service Agreement. All terms herein are subject to such agreement.
By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, scope, and pricing outlined for the engagement of the Chemical Engineer in India Mumbai. This acceptance shall be valid only within the stated validity period.
