2. SCOPE OF WORK – CHEMICAL ENGINEER SERVICES IN JAPAN KYOTO

This Quotation Estimate outlines the comprehensive professional services to be rendered by a qualified Chemical Engineer for the duration of the engagement period. The Chemical Engineer shall be physically stationed at the client's manufacturing facility located in Japan Kyoto, specifically within the Fushimi-ku industrial district. The scope encompasses process design optimization, reactor system analysis, safety compliance auditing, and continuous improvement initiatives aligned with Japanese industrial standards (JIS) and the Ministry of Economy, Trade and Industry (METI) regulatory framework.

The Chemical Engineer will conduct a full assessment of existing chemical processing lines, develop detailed process flow diagrams (PFDs), perform thermodynamic and kinetic modeling for batch and continuous reactors, and deliver actionable recommendations for energy efficiency improvements. Note: This Quotation Estimate is specific to the Chemical Engineer engagement at the Japan Kyoto location. All rates are inclusive of the Chemical Engineer's professional liability insurance and statutory social insurance contributions as required under Japanese labor law. 4. TERMS AND CONDITIONS

This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Upon expiration, all rates and terms must be reconfirmed in writing by both parties.
Payment terms: 30% advance payment upon acceptance of this Quotation Estimate; 40% upon completion of the process redesign and modeling phases; 30% upon final handover and acceptance of deliverables at the Japan Kyoto site.
The Chemical Engineer shall adhere to all confidentiality obligations regarding proprietary manufacturing processes, trade secrets, and intellectual property of the client. A separate Non-Disclosure Agreement (NDA) shall be executed prior to commencement of work.
All work performed by the Chemical Engineer shall comply with the Japanese Industrial Standards (JIS), the Chemical Substances Control Act, and applicable Kyoto Prefecture environmental ordinances.
The client shall provide the Chemical Engineer with reasonable access to all relevant facilities, documentation, and personnel at the Japan Kyoto location during normal business hours (08:30–17:30, Monday through Friday).
Any changes to the scope of work must be documented through a formal Change Order signed by both parties. No additional work shall be performed without written authorization.
Disputes arising from this Quotation Estimate shall be resolved through mediation in accordance with the rules of the Kyoto Chamber of Commerce and Industry, and failing that, through the competent courts of Kyoto, Japan.
This Quotation Estimate does not constitute a binding contract until formally accepted in writing by both parties and accompanied by the execution of the Master Service Agreement.
